Governance Explanations

Form 990, Part VI, Section B, Line 11B

After the draft 990 is presented to the ceo and the outsourced controller/cfo by the auditors, the director of finance provides the draft 990 to each member of the finance, audit, and investment committee of the board of directors. The committee reviews the document and makes recommendations to the full board for comments and/or a vote for the formal board minutes.

Form 990, Part VI, Section B, Line 12C

All directors, officers, and management personnel at the level of manager or above, shall submit an annual conflict of interest disclosure statement to the president of cmv and shall promptly supplement that statement, as appropriate, if the information contained on their most recent disclosure statement is not fully accurate.

Form 990, Part VI, Section B, Line 15A

A total compensation amount will be established for each senior manager/executive position based upon three factors: a. A survey of the marketplace which includes organizations of similar mission, similar budget size and/or similar number of employees. This information will be gathered from a review of the irs 990 forms which are now available on-line at mass.gov and through surveys if the information from the 990s is insufficient. B. The scope of responsibilities of the position. C. The goals established for that position.

Form 990, Part VI, Section C, Line 19

Casa myrna vazquez, inc. Makes its consolidated financial statements available on their website at www.casamyrna.org. Other items, including governing documents and the conflict of interest policy, are available upon request.

Financial Statement Notes

PART V, LINE 4:

The organization's endowment fund is intended to support its mission. Investment and spending policies are designed to preserve the purchasing power of the endowment while providing a stable source of support for programs and activities.

PART X, LINE 2:

Tax position: the organization currently evaluates all tax positions and makes a determination regarding the likelihood of those positions being upheld under review. The primary tax position made by cmv is the existence of unrelated business income tax and the organization's status as a tax-exempt organization under irc section 501(c)(3). The organization does incur a liability for both federal and state income taxes on the income, if any, related to the operations of its leased commercial properties, which is classified as unrelated business income, as defined by irc section 512(a)(1). For the years presented, there were no income taxes due from the rental of commercial real estate. When applicable, the organization recognizes the tax expense for unrelated business income when paid.
