Governance Explanations

Form 990, Part VI, Section B, Line 11

A draft of the completed form 990, including all schedules and attachments is presented first to the organization's finance committee and then to the executive committee for review. Upon approval, the 990 is presented to the board of directors with the finance and executive committees' recommendation for approval. Once approved, the 990 is signed and filed with the irs.

Form 990, Part VI, Section B, Line 12C

All officers, key employees and trustees are required to complete a questionnaire annually. The clerk reviews the questionaires for conflicts. Individuals with conflicts are barred from voting or participating in conflicting matters. Conflicts are disclosed in the annual audited financial statements.

Form 990, Part VI, Section B, Line 15

The compensation of the president is determined by the human resources committee. The committee considers comparative data of similar positions in comparable sized colleges in the region. The committee includes key employees, faculty and administration in their review of compensation. The college also engaged an outside consultant to help in the process.

Form 990, Part VI, Section C, Line 19

The financial statements and form 990 can be obtained by the general public via the massachusetts attorney general's website. The conflict of interest policy is not available to the general public, but available upon request.

ROUNDING 1.

Financial Statement Notes

PART III, LINE 4:

Donated artwork provides a comfortable environment for learning. The artwork also provides a stimulus for thought, conversation and interaction amongst students and faculty of the college.

PART V, LINE 4:

The college intends to use its endowment funds to support the future mission of the college.

PART X, LINE 2:

The college accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The college has identified its tax status as a tax exempt entity as a tax position; however, the college has determined that such tax position does not result in an uncertainty requiring recognition. The college is not currently under examination by any taxing jurisdiction. The college's federal and state income tax returns are generally open for examination for three years following the date filed.
