Form 990, Part VI, Section B, Line 12C

Bamsi's board of director's policy covers all members and officers of the board of directors. Bamsi's conflict of interest policy covers all bamsi employees. The president of the board of directors is responsible for receiving all disclosures of board member conflicts of interest. The chief operations officer is reponsible for receiving all disclosures of employee conflicts of interest. The president of the board will bring all disclosures of conlicts of interest to the members of the board in executive session for immediate resolution. The chief operations officer will convene the bamsi ethics committee to hear and resolve any disclosures or reports of employee conflicts of interest. If a conflict of interest is disclosed and substantiated regarding a member of the board that member may be removed from the board. If a conlict of interest is disclosed and substantiated regarding an employee they may be ordered to discontinue those activities found to be in conflict and may be ground for disciplinary action.

As noted in the executive evaluation and compensation policy, the executive committee is responsible for evaluating and establishing the compensation package for the ceo on an annual basis. The ceo evaluates and establishes a compensation package for the coo and cfo annually which is reviewed by the executive committee. The coo evaluates and establishes compensation for all agency vice presidents annually. The ceo will review the vp evaluations and compensation packages submitted by the coo. The executive committee will authorize a range for compensation. The performance appraisals for the coo, cfo, and emt members will be completed in october and made available to the executive committee for their review. It is imperative that performance appraisals be completed in a structured and timely manner. The executive committee will solicit feedback, including salary data, for the ceo's performance evaluation at the october board meeting. The ceo evaluation will be completed and finalized by the executive committee in november. The board of directors will solicit feedback, including salary data, for the coo, cfo, and vp performance evaluations in october. Comparable data based on similar non-profit agency's (size and service type) is used in all evaluations.

The organization accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The organization has identified its tax status as a tax exempt entity and its income being related or unrelated as its only significant tax positions; however, the organization has determined that such tax positions do not result in an uncertainty requiring recognition. The organization is not currently under examination by any taxing jurisdiction. The organization's federal and state tax returns are generally open for examination for three years following the date filed.
