Governance Explanations

Form 990, Part VI, Section A, Line 7A

Two councils on aging appoint board members.

Form 990, Part VI, Section B, Line 11

The form 990 has an in-depth review by the cfo, executive director and assistant executive director in the preperation process. The finance and audit committee of the board of directors reviews the details of the form 990 before it is filed. The entire board gets a copy and has an overview presentation of the form 990 before it is filed. The finance and audit committee and board reviewers are documented in the board minutes.

Form 990, Part VI, Section B, Line 12C

On an annual basis key staff members and board of directors review the conflict of interest policy and sign off to disclose any conflicts. Throughout the year, board members are required to disclose or abstain when voting on any item that might be impacted by other affiliations or conflicts.

Form 990, Part VI, Section B, Line 15

The sces human resources director gathers salary comparisons from other non-profits and other asaps. The board human resources committee reviews the executive director's goals and performance on an annual basis and discusses his salary level relative to other comparable positions and relative to salary levels at the agency. If they recommend no specific unique action, then the executive director is treated as all other non-bargaining unit employees in having whatever salary increase that the board approves as part of the budget or in other recommendations via the finance committee of the board.

Form 990, Part VI, Section C, Line 18

Form 990, Part VI, Section C, Line 19

Financial Statement Notes

PART X, LINE 2:

The organization, incorporated under chapter 180 of the massachusetts general laws as a tax exempt entity, has been granted tax-exempt status under internal revenue code section 501(c)(3), and is, therefore, generally exempt from federal and state income taxes. Accordingly, no provision for income taxes has been included in the accompanying financial statements. The organization is required by asc 740-10, income taxes, to evaluate and disclose tax positions that could have an effect on the organizations financial statements. The organization reports its activities to the internal revenue service and to the commonwealth of massachusetts on an annual basis. These informational returns are generally subject to audit and review by the governmental agencies for a period of three years after filing. Substantially all of the organizations income, expenditures and activities relate to its exempt purpose, therefore, management has determined that the organization is not subject to unrelated business income taxes and will continue to qualify as a tax exempt not-for-profit entity.
