The board of directors has delegated the authority to review and sign the form 990 to the president of the association. Any board member can upon request obtain a copy of and discuss the contents of the form 990.

The conflict of interest policy adopted by the board of directors january 25, 2007 requires each officer or director to examine any potental activities that may give rise to a conflict & abstain from voting on an issue if the director believes it will conflict with their duties as a board member or as an employee of a member. Annually this policy is reviewed with the board of directors and disclosure of any conflicts is requested.

The board of directors approves the compensation and employment contract of the chief executive officer. The board employs use of comparability data and independent compensation specialists in order to evaluate and vote on the compensation package. The board approves a salary pool for all other officers and key decision making employees. The board delegates the process of allocation of that pool to the chief executive officer.

Financial Statement Notes

PART X, LINE 2:

The association is an organization as contemplated by irc section 501(c)(6) and is generally exempt from income taxes under irc section 501(a). The association's for-profit subsidiary is subject to federal and state income taxation. The provision for income taxes for the association's for-profit subsidiary for the years ended december 31, 2024 and 2023, which is included in income tax expense, is comprised of the following amounts: 2024 2023 current: federal $2,275 $19,000 state $1,389 $9,000 total provision (benefit) for income taxes $3,664 $28,000 management does not provide for deferred income taxes as any such amounts are not material to the financial statements. Tax positions taken, or expected to be taken, in the course of preparing the association's and its for-profit subsidiary's tax returns are required to be evaluated to determine whether the tax positions are "more-likely-than-not" of being sustained by the applicable tax authority. Tax positions not deemed to meet a more-likely-than-not threshold would be recorded as a tax expense in the current year. There were no uncertain tax positions that require accrual or disclosure to the financial statements as of december 31, 2024 and 2023. All tax returns are subject to review and examination by federal and state tax authorities and are currently open to audit under the applicable statutes of limitation by the internal revenue service and various states for the years ended december 31, 2021 through 2024.
