Latham centers inc. Is a private non-profit agency that provides residential and day services to individuals who are emotionally, intellectually, physically or otherwise challenged. Our aim is to assist each individual to achieve his or her potential and to become valued members of their community.

The organization does not have any committees with the authority to act on behalf of the board of directors.

Form 990, Part VI, Section B, Line 11

The organization's president/ceo, vp of finance/cfo and controller review a draft of the form 990, which is prepared by the organization's independent accountants. Any resultant comments and changes are incorporated into the form by the independent accountants. A final version of the form 990 is then provided to each member of the board of directors prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

All officers and directors of the organization are required to annually file a statement with the president of the board of directors disclosing any potential interests that could give rise to conflicts. These statements are completed at the beginning of each fiscal year and are evaluated by the officers of the organization. Individuals with potential conflicts of interest are prohibited from participating in any deliberations or decisions that may be effected by a potential conflict of interest. All disclosed conflicts of interest are investigated and evaluated to determine an appropriate plan of action.

Form 990, Part VI, Section B, Line 15A

Compensation of the president/ceo is reviewed on an annual basis in connection with the organization's budgeting process. The executive committee reviews and approves the compensation of the president/ceo using data for comparable organizations. Such deliberations and decisions are recorded in the meeting minutes. For key employees as well as other management positions, the human resource department comprises a list of average salaries by position, which is based on similar organizations. This list is subject to review and approval by the finance committee. Based on that approval, the president/ceo then approves staff salaries based on performance evaluations.

The organization's audited financial statements are available to the public via the websites of certain state regulatory agencies as well as upon request. The organization's governing documents and conflict of interest policy are available upon request.

Financial Statement Notes

PART IV, LINE 2B:

The organization acts as fiduciary with respect to certain personal client funds it receives as a representative payee. These funds are not the property of the organization and are held in trust in separate accounts on behalf of the clients.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require the organization to evaluate tax positions taken and recognize a tax liability (or asset) if the organization has taken an uncertain position that more likely than not would be sustained upon examination by taxing authorities. The organization has analyzed the tax positions taken, and had concluded that, as of june 30, 2014, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the consolidated financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization believes it is no longer subject to income tax examinations for years prior to 2011.
