It is our policy to address any potential conflicts openly, transparently and appropriately. This usually begins with individual trustees and staff identifying any potential conflicts of interest that may exist. It is important to avoid actual as well as apparant conflicts of interest. It is important that individuals make the appropriate individuals aware that a conflict may exist and should be assessed. It is the responsibility of the trustee or employee to disclose the conflict prior to engaging in any discussion related to decision making. If a trustee discloses a potential conflict: they may personally recuse themselves from the discussion and voting; ask the foundation chair to determine whether a conflict exists. If the chair determines there is a conflict, the trustee will be asked to recuse themselves, leaving the subsequent discussion and vote; if a board member questions the chair's decision, the decision is reviewed and voted upon by the board. The decision of the board is final. The minutes of the meeting should clearly reflect that the trustee involved did not participate nor vote on the issue at hand. Each trustee signs a copy of this policy as part of the code of conflict and ethics. Each employee signs the employee handbook, which includes the conflict of interest policy.”
