Governance Explanations

The united way of the franklin & hampshire region's governing board is made up of business and civic leaders from throughout franklin & hampshire county. As such, it is not uncommon for them ot have, or have had, business relationships unrelated to their responsibilities as governing board members of the organization.

Form 990, Part VI, Section B, Line 11B

The united way of the franklin & hampshire region provides a copy of the form 990 to all governing board members no less than five days prior to a regularly schedule board meeting. The form 990 is discussed at the board meeting and then formally accepted by a vote of the board.

Form 990, Part VI, Section B, Line 12C

All aspects of the united way of the franklin & hampshire region's code of ethics/conflict of interest policy are reviewed annually at the january meeting of the governing board, at which point board members are required to declare any conflicts and sign the declaration. The document is revisited with any new board members, as well as any member who experiences a change in employment or affiliation.

The personnel committee of the board of directors reviews the executive director's compensation with comparable compensation data available through the united way systems.
