Governance Explanations

Form 990, Part VI, Section B, Line 11B

Tthe annual federal form 990 is first reviewed by senior members of finance management. Once this internal review is complete, the return is distributed to and reviewed by a subcommittee of the board of directors. This subcommittee consists of chairs of the governance, audit, and finance committees. A review/input is provided by this subcommittee, and then the full board is provided the opportunity to review the federal form 990 prior to it being filed.

Form 990, Part VI, Section B, Line 12C

On an annual basis, trustees, board members, and staff with the organization are required to file with the board a statement disclosing his or her personal, business, or organizational interests and affiliations. When any such affiliation becomes relevant in the making of any board decision, the director having the conflict of interest shall call it to the attention of the board and that director shall not vote on the matter and shall not use personal influence. This does not exclude any director who is excluded from voting because of a conflict of interest from briefly stating his or her position and answering pertinent questions in order to assist the home for little wanderers, inc. 04-2104764 the board in its decision making.

Form 990, Part VI, Section B, Line 15

The home participates in salary surveys for the not-for-profit sector on a regular basis (for all positions). The results of the survey are shared with all the organizations who participated in the survey. The home's recruiting function is also benching salaries against positions posted at other employers in the area. The home has a salary structure which is adjusted annually based on the market data described above. The salary ranges for all positions are adjusted according to the cpi and other market factors. Furthermore, salary grades for specific positions may also be adjusted (to different salary grades) based on market conditions. This study (provided by association of behavioral health) included review of: 1) president & ceo 2) top finance & administration executive 3) top development executive 4) top program executive 5) top human resources executive 6) top quality executive the following steps with respect to compensation review of the top home for little wanderers executives were outlined by the governance & risk management committee on june 2010: - the ceo completes a self-evaluation as well as evaluations for the rest of the executive management team. The ceo's self-evaluation is sent to the chair of the compensation committee for distribution to committee members. - human resources will provide the committee with salary benchmark data. - committee will meet to discuss performance and recommended salary adjustments and bonuses (if any) for the group. - minutes will be kept of the committee meetings/discussions - information about any compensation adjustments (except for ceo's) sent to hr for processing - the committee meets with the full board in executive session to provide a recommendation for the ceo's compensation adjustment and bonus (if any) - any board approved changes are communicated to human resources for processing.

The home has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets.

PART X, LINE 2:

The home is exempt from income taxes as a public charity under section 501(c)(3) of the internal revenue code. Management believes that the home operates in a manner consistent with its tax-exempt status at both the state and federal level. The home annually files irs form 990 - return of organization exempt from income tax, reporting various information that the irs uses to monitor the activities of tax-exempt entities. These tax returns are subject to review by the taxing authorities, generally for a period of three years after they were filed. The home currently has no tax examinations in progress.

The home has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets. The home has beneficial interests in perpetual trust which are held and and administered by different trustees. The fv of the fund is recorded as part of the home's permanent endowment and the home receives income distribution checks.

Part X, Line 2

The home accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. Interest and penalties assessed, if any, are accrued as income tax expense. The home has identified its tax status as a tax-exempt entity and its determination as to its income being related or unrelated as its only significant tax positions. However, the home has determined that such tax positions do not result in an uncertainty requiring recognition. The home is not currently under examination by any taxing jurisdiction. The home's federal and state tax returns are generally open for examination for three years following the date filed.
