We are a member supported organization, dedicated to encouraging and improving the science and practice of horticulture and developing the public's enjoyment, appreciation and understanding of plants and the environment.

Massachusetts horticultural society seeks to help people change their lives and communities for the better through growing plants together. For 196 years, massachusetts horticultural society has had a mission to promote the art and science of horticulture, while staying true to its founding motto, `commune bonum,' for the public good.

The form 990 is prepared by an independent cpa firm, reviewed by management, submitted by management for review by the treasurer and finance committee, and a final draft, excluding schedule b donor information, is distributed to the full board by email prior to filing. The form is then authorized and signed by the organization's president.

Form 990, Part VI, Section B, Line 12C

The trustees were asked to sign a disclosure statement for the year ended september 30, 2023. Any potential conflicts are discussed by the disinterested trustees, while the party in potential conflict is required to leave the room. Board meeting minutes will document the discussion and decision-making process. In the event of a potential conflict, procedures to obtain competitive bids and diligence on fair market value will be established.

Form 990, Part VI, Section B, Line 15A

Mhs' executive compensation program is administered by the board of trustees through its executive performance and compensation committee. This committee is responsible for establishing and maintaining a competitive compensation program for the organization's executive director. A performance evaluation is conducted and reviewed each year by the committee and is intended to ensure that the compensation program falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations. Following this review, the committee reviews and approves, for the executive director, base salaries and annual incentive opportunity adjustments, and objectives and goals for the upcoming year's annual incentive plan. The committee reviews and recommends salary approval and incentive awards for the executive director to the board of trustees, as needed.

The organization possesses a collection of rare books which were acquired through purchases and contributions. The collection of over 750 books are held for education, research and preservation for future generations.

Tax position: the organization currently evaluates all tax positions, and makes a determination regarding the likelihood of those positions being upheld under review. The primary tax positions made by the organization are the existence of unrelated business income tax and the organization's status as a tax-exempt organization under section 501(c)(3) of the internal revenue code. For the years presented, the organization has not recognized any tax benefits or loss contingencies for uncertain tax positions based on this evaluation.

WITH A FOCUS ON THE OUTDOOR EXPERIENCE OF THE GARDEN, MHS SEEKS TO PROMOTE THE ROLE OF HORTICULTURE IN CREATING AND ENHANCING LIFE'S MOST IMPORTANT MEMORIES. OVER 25,000 GUESTS ARE INTRODUCED TO THE GARDENS IN THIS WAY.HORTICULTURAL, ENVIRONMENTAL AND CULTURAL EDUCATION:ADULT EDUCATION: ADULT EDUCATION INCLUDES A COMPREHENSIVE CATALOG OF HORTICULTURAL, GARDENING AND ENVIRONMENTAL LECTURES AND WORKSHOPS TO EDUCATE ADULTS, SUCH AS YEAR-ROUND CLASSES IN HORTICULTURE, LANDSCAPE DESIGN, AND BOTANY TO NAME A FEW, FOR THE NOVICE TO EXPERT PRACTITIONER. A PROGRAM OF GARDEN TOURS BOTH IN MHS GARDENS AND OTHER PUBLIC AND PRIVATE GARDENS IS HOSTED AND EXTENSIVE VOLUNTEER GARDENING TRAINING IS DELIVERED. IN SPRING 2023, MHS TOOK OVER LEADERSHIP OF THE FORMER WELLESLEY COLLEGE BOTANIC GARDEN CERTIFICATE IN BOTANICAL ILLUSTRATION AND THIS FORMS A LARGE AND GROWING COMPONENT OF ACCREDITED EDUCATIONAL OFFERINGS RECOGNIZED AT A NATIONAL LEVEL.YOUTH EDUCATION: MHS'S EDUCATIONAL PROGRAMS FOR YOUTH FOCUS ON THE SCIENCE OF GROWING PLANTS, HEALTHY NUTRITION, AND THE IMPORTANCE OF NATURE AND THE ENVIRONMENT.
