Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The Form 990 was prepared by the organization's management and reviewed in detail by tax advisors from a national accounting firm. The Chief Financial Officer reviewed Form 990 prior to it being presented to the audit committee. The audit committee reviewed the form 990 and approved for submission to the Internal Revenue Service. Prior to the final form being electronically submitted to the Internal Revenue Service, a copy was provided to all members of the board of trustees.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The organization maintains a written conflict of interest policy which is updated and disseminated to all employees and trustees annually. The Chief Compliance Officer of the organization requires that each key employee, officer and trustee complete a conflict of interest disclosure form annually and reviews them. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the interest and be given the opportunity to disclose all material facts describing the nature of the affiliation, and indicating whether he or she has or may have a conflict of interest involving any financial transaction of WGBH. In the event there is a change in the information submitted in the disclosure statement, the person submitting it is to promptly submit written notification of the change. At the conclusion of the fiscal year prior to the submission of the Form 990, a governing body member is required to disclose any conflicts of interest that may have existed during the prior fiscal year using the provided questionnaire. All transactions disclosed by trustees or officers as related-party transactions shall be reviewed by the audit committee of the board of trustees, provided that only those members of the committee who have no involvement with any related-party transactions involving the Foundation ("Independent Trustees") shall participate in such review. In the case of a transaction that is covered, the audit committee shall determine whether, all factors considered, the transaction is fair and reasonable to, and is in the best interest of the Foundation. Approval of a related-party transaction shall require a majority vote of the Independent Trustees at a meeting at which there is a quorum determined solely with regard to Independent Trustees.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The organization's Compensation Committee of the Board of Trustees is an independent committee, the members of which each year verify that they do not have any conflicts of interest with respect to the compensation paid to the Chief Executive Officer and top management employees. This committee reviewed the confidential feedback from the direct reports that relate to the Chief Executive Officer's annual goals and performance, and determined the Chief Executive Officer's compensation package. The committee also reviewed and approved the compensation package for all executive leaders that was prepared by the CEO and COO. The committee utilized third party data and surveyed the trustees using a questionnaire to benchmark comparable compensation packages for the CEO and other key executive roles in functionally comparable positions and similar sized organizations. The compensation review is an annual process and is documented each year in the compensation committee minutes, in which the deliberation and decisions regarding the compensation arrangements for the CEO and the executive leadership team are recorded. The compensation committee reports on its meetings and actions to the full board of trustees or the executive committee of the board.

Form 990, Part XI, Line 8 Prior Year Adjustments

WGBH adopted ASC 606 for fiscal year 2019 using a modified retrospective application for contracts that were not completed as of the date of the initial application and the practical expedient for contract modifications. This method recognizes the cumulative effect of initially applying ASC 606 as an adjustment to the opening balance of net assets as of July 1, 2018 for contracts not completed at the date of initial application. Under ASC 606, WGBH recognizes licensing and national underwriting revenue upon delivery of the film. Production costs are capitalized as incurred and amortized consistently with the delivery of the film, which occurs on an episodic basis.As a result of ASC 606 adoption, WGBH recorded a total reduction of $93,486,909 to net assets as of July 1, 2018. This adjustment was comprised of a $13,567,651 increase in net assets without donor restrictions, and a $107,054,560 decrease in net assets with donor restrictions.

The Foundation is exempt from federal income taxes under Section 501(c)(3) of the United States Internal Revenue Code. US GAAP requires the Foundation to evaluate tax positions taken by the Foundation and recognize a tax liability (or asset) if the Foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the IRS. The Foundation has analyzed the tax positions taken and has concluded that as of June 30, 2019, there are no significant uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the consolidated financial statements.

For 65 years, that mission has remained constant, from such local productions as Basic Black and High School Quiz Show to national series like MASTERPIECE and Antiques Roadshow. With the newly launched Emerging Platforms Initiative, WGBH is reaching the next generation of public media fans with a strategic blend of digital programs on multiple platforms.WGBH has long been a trusted partner to educators, parents and children, creating high quality educational programs and services that give kids opportunities for success. We continually enhance the offerings of PBS LearningMedia, the free, online digital media service developed by WGBH and PBS. With more than 100,000 educational resources for teachers that are aligned with curriculum standards and used by educators in every state. We provide direct learning services to Boston Public Schools, with a focus on new immigrant families. Our award-winning science series NOVA is the most-used science resource in America's high schools. NOVA shared the film Addiction with local and state policymakers and educators via almost 100 community screenings across the country. Molly of Denali, WGBHs newest childrens program, is the first to feature an Alaska Native as the lead, showcasing Native culture and using informational texts to teach how to gather information.WGBH News is one of the fastest growing local news providers in Greater Boston and operates a vibrant and expanding local radio newsroom with original productions. WGBH News garnered five regional Edward R. Murrow Awards in 2019.Through history, music, art, drama and cooking, WGBH programs allow us to explore more deeply cultures across the globe. American Experience explored the Apollo missions with a multiplatform initiative Chasing the Moon, including a behind-the-scenes look at mans first steps on the moon. ANTIQUES ROADSHOW prepared to mark its 500th episode. WGBH is a pioneer in media access services for 35 million Americans with hearing or vision loss.
