Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the officers of the corporation and such additional trustees as the chairman may appoint. The chairman shall be the chairman of the committee. Unless the trustees otherwise determine, the executive committee shall have the power to act on all matters between meetings of the trustees except for such actions that by law must be taken by the full board of trustees.

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by tax advisors of a national accounting firm with information provided by management. We provide the board with a copy of the form 990 as well as materials to assist them in completing their responsibilities related to form 990. The auditors are on hand at the annual meeting to answer any questions the board members may have.

All officers, trustees, and key employees shall annually sign a statement which affirms that such person: a. Has received a copy of the conflicts of interest policy b. Has read and understands the policy c. Has agreed to comply with the policy d. Understands that the boston home is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

PART X, LINE 2:

The boston home, inc. ("tbh") is qualified under section 501(c)(3) of the internal revenue code and is generally exempt from federal and state income taxes on related income. Given the limited taxable activities of tbh, management concluded that disclosures relative to tax provisions are not necessary. Tbh accounts for the effect of any uncertain tax positions based on a more likely than not threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. Interest and penalties assessed, if any, are accrued as income tax expense. Tbh has identified its tax status as a tax-exempt entity as its only significant tax position and has determined that such tax position does not result in an uncertainty requiring recognition. Tbh is not currently under examination by any taxing jurisdiction. Tbh's federal and state income tax returns are generally open for examination for the three years following the date filed.
