Shady hill school is a private, pre-k through grade 8, co-educational day school located on 11 acres in cambridge, massachusetts. The campus contains academic, athletic and administration buildings including a new steam building and makerspace in addition to playgrounds and playing fields. Total enrollment is approximately 520 students.shady hill school wants children to be joyful, active learners who develop the intellectual discipline necessary to become contributing, ethical citizens. To accomplish these ends, we believe in the primacy of exploration and discovery, we advance the mastery of skills, and we help students shape meaning from knowledge.the school knows and honors the individual character and spirit of each child, respects the pace of childhood and understands that true exploration takes time, creates a safe environment that allows children to be curious, take risks and make mistakes, challenges prejudice and respects differences.

The board of trustees and officers of the organization are asked to fill out a conflict of interest statement annually. If an actual or potential conflict of interest exists, the interested person reports the conflict to the audit committee. The audit committee evaluates the severity of the transaction and the need to report the conflict to the executive committee of the board. If the conflict rises to the level of reporting, the audit committee will report the transaction to the board.

PART X, LINE 2:

The school accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The school has identified its tax status as a tax exempt entity as its only significant tax position; however, the school has determined that such tax position does not result in an uncertainty requiring recognition. The school is not currently under examination by any taxing jurisdiction. The school's federal and state tax returns are generally open for examination for three years following the date filed.
