Form 990, Part VI, Section A, Line 7A

The members of the organization, as stated in the bylaws, are each parent or legal guardian of the children enrolled as full-time students in shady hill school. The members elect not more than eighteen board of trustees.

Form 990, Part VI, Section B, Line 11

The form 990 is presented and discussed via conference call about a week before filing. The audit committee reviewed and discussed it at this time. It is also posted to the school's internal website for review by all board members during the same time frame.

Form 990, Part VI, Section B, Line 12C

The board of trustees and officers of the organization are asked to fill out a conflict of interest statement annually. If an actual or potential conflict of interest exists, the interested person reports the conflict to the audit committee. The audit committee evaluates the severity of the transaction and the need to report the conflict to the executive committee of the board. If the conflict rises to the level of reporting, the audit committee will report the transaction to the board.

Form 990, Part VI, Section B, Line 15

There is an executive compensation committee of the board which reviews the compensation package of the head of school when the contract is periodically reviewed. The committee uses comparable data and consultants when necessary.

Form 990, Part VI, Section C, Line 19

Shady hill school makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The school accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The school has identified its tax status as a tax exempt entity as its only significant tax position; however, the school has determined that such tax position does not result in an uncertainty requiring recognition. The school is not currently under examination by any taxing jurisdiction. The school's federal and state tax returns are generally open for examination for three years following the date filed.
