“Paragraph II-3 dealing with elections was amended to read, "The Board shall, by majority vote, elect new trustees to fill vacant positions, except for out-of-term vacancies described in section II-5. This annual election shall take place at a regular or special meeting in the last quarter of the year, with newly elected trustees assuming office at the first Board meeting the following January. No less than 30 days prior to the date of the election, the Board shall publicize the election date and number of open positions, and invite Thetford residents to suggest candidates for consideration."”

“There is contemporaneous documentation of all meetings of the Board of Directors. There are no committees with authority to act on behalf of the Board.”

“A copy of Form 990 is provided to all Board Members. After reviewing the return, the board formally votes acceptance of the 990 and approves filing.”

“The Library's conflict of interest policy, which is incorporated into its by-laws, requires any possible conflict of interest on the part of any Board Member to be disclosed in writing and made a matter of public record through an annual procedure and also when the interest involves a specific issue or transaction before the Board. In addition, every Board Member is informed about the policy when they join and all Board Members sign annual statements acknowledging understanding of and agreement to the policy.”

“The Board reviews the performance of the Library Director each year and determines their compensation in accordance with established procedures at that time.”

“The Library's financial statements, governing documents and conflict of interest policy are available to the public upon request.”
