Document is reviewed with treasurer in depth along with the director of finance and operations at the internationals network. The treasurer will approve the 990 prior to filing. The document is then shared with the board.

Form 990, Part VI, Section B, Line 12C

An organization's reputation for integrity is its most important asset and is directly related to the conduct of its employees and members of its board of directors. Internationals adheres to the highest applicable legal and ethical standards, and the integrity of all employees and its board members is of the utmost importance. Therefore, any situation which may even be construed as a conflict of interest (including any situation which may be viewed as competing with the organization's business) must be avoided. A conflict of interest also exists in any situation where the gain, or potential gain, from information normally attainable only through employment with internationals or service on its board, is used to the benefit of the employee/board member and/or to the detriment of internationals. A conflict of interest may prevent an employee/board member from exercising care, skill and judgment on behalf of internationals in the performance of his/her assigned duties or board initiatives. Employees and board members must immediately report any actual or potential conflict of interest to the executive director. The failure to report an actual or potential conflict of interest and any conduct by an employee that results in a conflict of interest will result in appropriate discipline, up to and including termination. A similar situation involving a board member would be thoroughly reviewed by the executive director in conjunction with the entire board of directors to determine appropriate action.

The board chair reviews comparative financials for three other nyc school intermediary organizations as well as the salary structure for nyc principals in the nyc department of education. Based on this analysis and a review of the salary history of the executive director, the board chair makes a recommendation to the entire board. The entire board then votes on his recommendation.
