Carol edgarian and tom jenks (co-founders and key executive staff) are in a family relationship

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by an outside tax professional. The form is then reviewed by the organization's management and a member of the board of directors. This group of individuals then discusses the contents of the return with the outside tax professional. After a full review (with modifications where necessary), the final version of the tax return is provided to all members of the organization's voting body on their request. An officer signs and mails the return to the department of the treasury.

Form 990, Part VI, Section B, Line 15

The narrative board's governance committee undertakes an annual review of total compensation packages for narrative's top management personnel its executive director/editor and president/editor-in-chief (the co-founders). The committee considers comparable compensation information of other literary nonprofit organizations and conducts periodic compensation surveys using compensation data from industry sources in order to determine competitiveness and appropriateness of salaries and total compensation packages. The committee then presents its findings to the board (minus the co-founders) for review and approval. Every effort is made to ensure that the process is thorough and transparent. In the latest survey conducted for fiscal year 2024, it was noted that levels of compensation for narrative's executives have not changed significantly since the last compensation survey was prepared, and the proposed total compensation amounts for 2025 are below the range of current comparables. Further, medical and retirement benefits have not be been provided to narrative's executives, contrary to standard industry practice. The compensation of the executive director/cfo and the editor-in-chief was reviewed and documented by the board of directors in a breakout session. The board resolved to address this vulnerablity in our employee retention and compensation strategy. A similar process described in 15.a is conducted by the governance committee for non-executive key personnel at the managing editor and director levels. For the most part, staff in these positions are independent contractors. Non-executive-level staff total compensation packages for 2024 were found by the governance committee to be in keeping with or below other comparable compensation for similar positions within other literary nonprofit organizations. The committee's findings were shared with the board in the breakout session. No vulnerabilies in employee retention were identified by the board for current (2025) compensation levels.

THE COMMITTEE CONSIDERS COMPARABLE COMPENSATION INFORMATION OF OTHER LITERARY NONPROFIT ORGANIZATIONS AND CONDUCTS PERIODIC COMPENSATION SURVEYS USING COMPENSATION DATA FROM INDUSTRY SOURCES IN ORDER TO DETERMINE COMPETITIVENESS AND APPROPRIATENESS OF SALARIES AND TOTAL COMPENSATION PACKAGES. THE COMMITTEE THEN PRESENTS ITS FINDINGS TO THE BOARD (MINUS THE CO-FOUNDERS) FOR REVIEW AND APPROVAL. EVERY EFFORT IS MADE TO ENSURE THAT THE PROCESS IS THOROUGH AND TRANSPARENT. IN THE LATEST SURVEY CONDUCTED FOR FISCAL YEAR 2024, IT WAS NOTED THAT LEVELS OF COMPENSATION FOR NARRATIVE'S EXECUTIVES HAVE NOT CHANGED SIGNIFICANTLY SINCE THE LAST COMPENSATION SURVEY WAS PREPARED, AND THE PROPOSED TOTAL COMPENSATION AMOUNTS FOR 2025 ARE BELOW THE RANGE OF CURRENT COMPARABLES. FURTHER, MEDICAL AND RETIREMENT BENEFITS HAVE NOT BE BEEN PROVIDED TO NARRATIVE'S EXECUTIVES, CONTRARY TO STANDARD INDUSTRY PRACTICE. THE COMPENSATION OF THE EXECUTIVE DIRECTOR/CFO AND THE EDITOR-IN-CHIEF WAS REVIEWED AND DOCUMENTED BY THE BOARD OF DIRECTORS IN A BREAKOUT SESSION. THE BOARD RESOLVED TO ADDRESS THIS VULNERABLITY IN OUR EMPLOYEE RETENTION AND COMPENSATION STRATEGY. A SIMILAR PROCESS DESCRIBED IN 15.A IS CONDUCTED BY THE GOVERNANCE COMMITTEE FOR NON-EXECUTIVE KEY PERSONNEL AT THE MANAGING EDITOR AND DIRECTOR LEVELS. FOR THE MOST PART, STAFF IN THESE POSITIONS ARE INDEPENDENT CONTRACTORS. NON-EXECUTIVE-LEVEL STAFF TOTAL COMPENSATION PACKAGES FOR 2024 WERE FOUND BY THE GOVERNANCE COMMITTEE TO BE IN KEEPING WITH OR BELOW OTHER COMPARABLE COMPENSATION FOR SIMILAR POSITIONS WITHIN OTHER LITERARY NONPROFIT ORGANIZATIONS.
