Governance Explanations

The foundation entered into a cost sharing agreement with the auto dealers association of greater philadelphia ("association"). The foundation will pay the association under the terms of the cost sharing agreement for personnel services and resources received from the association.

Form 990, Part VI, Section B, Line 11B

Once the 990 is completed by the tax preparers, it is shared, reviewed, and discussed by the executive director. Once they have approved it and with their recommendation, it is sent to the board for comment. If no comments are received by the board, it will be considered approved for submission.

Directors and trustees are required to complete an annual statement of disclosure at the spring board meeting every year. The chief financial & operations officer reviews these statements for any potential conflict, and follows up accordingly.

The board of directors is responsible for the oversight of the audit of the financial statements as well as the selection of the independent accountant. This process is unchanged from the prior year.

Financial Statement Notes

PART X, LINE 2:

Accounting for uncertainty in income taxes clarifies the accounting for uncertainty in income taxes recognized in an enterprise's financial statements. Management has analyzed the tax positions taken by the foundation, and has concluded that as of june 30, 2025 and 2024, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The foundation recognizes accrued interest and penalties associated with uncertain tax positions, if any. There were no income tax related interest or penalties recorded for either of the years ended june 30, 2025 or 2024.
