Governance Explanations

Form 990, Part VI, Section A, Line 4

The 2024 bylaws introduce a new provision allowing the board, in exceptional circumstances, to extend a director's service for an additional term of up to three years without the previously required one-year hiatus, subject to majority board approval. This is a change from the strict term limits in the 2016 bylaws, which required a one-year break after three consecutive three-year terms before a director could be reelected

Form 990, Part VI, Section A, Line 7A

Von and the university of vermont have an affiliation agreement in place which seats the dean of the medical school on von's board ex officio and allows the dean to nominate on other board member

Financial Statement Notes

PART X, LINE 2:

The network is exempt from federal income tax (on activities related to its tax-exempt purpose) as an organization described in section 501(c)(3) of the internal revenue code, and is classified as a publicly supported organization under section 509(a)(2). Contributions to the network qualify for the charitable contribution deduction under internal revenue code section 170(b)(1)(a). Fasb asc 740, income taxes, requires entities to disclose in their financial statements the nature of any uncertainty in their tax positions. For tax-exempt entities, tax-exempt status itself is deemed to be an uncertainty, as events could potentially occur to jeopardize their tax-exempt status. Management believes the network has no uncertain tax positions. The network anticipates that it will not have a change in uncertain tax positions during the next twelve months that would have a material impact on the network's financial statements. If necessary, the network would accrue interest and penalties on uncertain tax positions as a component of the provision for income taxes. The network is no longer subject to federal and state income tax examinations by tax authorities for years before the year ended december 31, 2021.
