“The election commitee chairperson shall submit a call for nominations by mail or email to the last known address of each member no later than 90 days before the election of officers and directors. Regular elections are held to coincide with the annual conference of the council. The chairperson collects all nominated candidate information and develops the voting ballot which is mailed or emailed to all members at least 30 days prior to the election date. Each member casts a ballot for each slate of candidates and can respond by mail, email or electronic facsilmile, or deposited in person at the annual conference.”

“Special meetings may be called by the presient of the board of directors or upon written request of 25 of the membership. Notice of time and place is given to every member at least 45 days prior to the meeting. Decisions at the annual and special meetings shall be by majority of votes cast by the members present. Proxy votes are permitted if designated in writing and reported to the presiding officer prior to roll call. Additionally, when a question arises which the board believes should be put to a vote of the members, the board may submit the question by mail or email if it is not expedient to call a special meeting.”

“The full board recieves the 990 electronically for their review. Each board member must respond that they have received and reviewed before it is filed. Copies of each board members response are filed with the office copy of the 990 each year.”

“The organization requires the board members to sign the conflict of interest policy annually and determines with the board members any confilct of interest as contracts or other activities arise throughout the year.”

“The organization responds quickly to all requests for public documents through phone call, mail or website. The website has available to the public its bylaws, strategic plan, newsletter, and pertinent information on current programs/grants that the organization is conducting.”

“The organizations mission structure is as follows: 1. State government memberships - persons employed in or representing state government 2. Institutional membership - persons in other government local, regional, federal tribal, aceademic and non-government organizations 3. Business membership - persons in for-profit commercial enterprises 4. State council membership - a state that enrolls its gis coordinating body or council representatives at a group rate to support the organization at a higher level all state coordinating body or council representatives receive full membership benefits.”
