THE VERMONT HEALTH FOUNDATION ("VHF"), WAS CREATED IN 1983 TO FUNCTION AS A HOLDING COMPANY FOR THE ASSETS OF THE MEDICAL CENTER HOSPITAL OF VERMONT ("MCHV") AND TO BE THE PLACE WHERE CHARITABLE GIFTS DONATED TO THE HOSPITAL WOULD REPOSE. WHEN MCHV, THE FANNY ALLEN HOSPITAL AND THE UNIVERSITY HEALTH CENTER MERGED IN 1994 TO BECOME FLETCHER ALLEN HEALTH CARE ("FAHC"), VHF BECAME ONE OF THE FLETCHER ALLEN HEALTH CARE PARENT ORGANIZATION WITH THE RESPONSIBILITY TO SEND FOUR MEMBERS TO THE FAHC BOARD AND TO APPROVE CHANGES TO ITS MISSION OR BY LAWS. IT RETAINED $13M IN ASSETS AND DECLARED TO BECOME A GRANT GIVING ORGANIZATION TO COMMUNITY BASED ENTITIES WHOSE WORK WOULD ADVANCE OR COMPLEMENT THE NEARLY IDENTICAL MISSIONS OF THE VHF AND FAHC. IN 2000, VHF AND FAHC ENTERED INTO A MEMORANDUM OF UNDERSTANDING WHICH INTENDED TO BETTER ALIGN VHF'S GRANT MAKING PRIORITIES WITH FAHC'S STRATEGIC INITIATIVES. DESPITE SOME SUCCESSES IN ACHIEVING THE EFFICIENCIES ANTICIPATED BY THE MOU, BOTH ORGANIZATIONS AGREED THAT THE MOU HAD NOT ENABLED THE TWO TO FULLY INTEGRATE THEIR COMMUNITY BENEFIT INVESTMENTS. ON OCTOBER 11, 2011, FAHC AND VHF ENTERED INTO A GIFT AGREEMENT WHEREBY VHF GIFTED ITS CORPUS TO FAHC. AT THE SAME TIME, FAHC CREATED A COMMUNITY BENEFITS COMMITTEE WITH HALF OF ITS MEMBERS REPRESENTING MEMBERS OF VHF BOARD. THE COMMUNITY BENEFIT COMMITTEE'S PURPOSE IS TO PROVIDE COMMUNITY GRANTS THAT ALIGN WITH THE COMMUNITY HEALTH NEEDS IDENTIFIED BY FAHC. IN 2014, FLETCHER ALLEN HEALTH CARE CHANGED ITS NAME TO UNIVERSITY OF VERMONT MEDICAL CENTER ("UVMMC"). IN 2015, THE COMMUNITY BENEFITS COMMITTEE CHANGED ITS NAME TO THE COMMUNITY HEALTH INVESTMENT COMMITTEE ("CHIHC"). CHIHC'S WORK WITH FULL VOTING RIGHTS OF ALL VHF BOARD MEMBERS, CREATES THE TIMING OF GRANTS, THE MANNER OF MAKING GRANTS, AND THE SELECTION, AWARD, AND MONITORING OF GRANT RECIPIENTS. AS VOTING MEMBERS OF THE COMMUNITY HEALTH INVESTMENT COMMITTEE, THE VHF BOARD APPOINTED PUBLIC MEMBERS AGREES TO ADVOCATE FOR COMMUNITY NEEDS, BE STEWARDS OF THE VHF BOARD'S HISTORY, AND TO DEMAND ACCOUNTABILITY IN ALL COMMUNITY BENEFIT INVESTMENTS MADE BY UVMMC. UVMMC MEMBERS WORK ALONGSIDE VHF BOARD APPOINTEES IN THIS WORK. THESE ACTIVITIES ARE ALL ALIGNED WITH AND FURTHER THE SPONSOR ORGANIZATION'S EXEMPT PURPOSE. IF THE VHF MEMBERS DID NOT SERVE ON THE COMMUNITY HEALTH INVESTMENTS COMMITTEE, UVMMC WOULD HAVE FILL THESE COMMITTEE POSITIONS WITH OTHER INDIVIDUALS. THE ROLE THE VHF BOARD MEMBERS PLAY WOULD STILL NEED TO BE FULFILLED IF THEY WERE NOT ACCOMPLISHED BY THE ACTIVITIES OF THE VHF. THE HISTORIC AND CONTINUING RELATIONSHIP BETWEEN THESE TWO ENTITIES ENSURES THAT THE ORIGINAL INTENT OF THE 2011 GIFT AGREEMENT IS FULFILLED.
