Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the annual tax return is made available to all board and finance committee members prior to its submission.

Form 990, Part VI, Section B, Line 12C

The board of directors, officers, and employees are required to read the organization's conflict of interest policy and disclose all real or potential conflicts annually. Disclosures are updated as soon as changed circumstances require so that safeguards can be established to protect all parties and agreement reached to take steps to resolve or avoid any actual or potential conflicts.

Form 990, Part VI, Section B, Line 15

The organization's current compensation policy calls for the executive committee, or other board-designated committee, to establish and maintain a competitive executive compensation program. The committee is to perform an annual evaluation of the executive director. In reviewing and approving the compensation, the committee reviews data from comparably situated organizations and documents its decision and the data upon which it relied. The committee and/or board chair then meet with the executive director to discuss these matters.

Form 990, Part VI, Section C, Line 19

The organization makes all organizational documents including its form 1023, annual tax returns, governing documents and policies, and financial statements available for public inspection upon request.

ROUNDING 47.

Financial Statement Notes

PART V, LINE 4:

The earnings from the endowment fund support the flynn's presentations, school programs and the organization's mission.

PART X, LINE 2:

Fasb asc 740, income taxes, requires entities to disclose in their financial statements the nature of any uncertainty in their tax positions. For tax exempt entities, tax-exempt status itself is deemed to be an uncertainty, as events could potentially occur to jeopardize their tax-exempt status. Management believes the organization has no uncertain tax positions. The organization anticipates that it will not have a change in uncertain tax positions during the next twelve months that would have a material impact on the organization's financial statements. If necessary, the organization would accrue interest and penalties on uncertain tax positions as a component of the provision for income taxes. The organization is no longer subject to federal and state income tax examinations by tax authorities for years before the year ended june 30, 2021.
