A draft is provided to all trustees for review prior to the filing of the form 990.

Form 990, Part VI, Section B, Line 12C

All board members and employees are required to fill out a conflict of interest and confidentiality agreement form at least annually. These forms are reviewed by the executive director with any concerns forwarded to the executive committee. Board members are reminded to disclose possible conflicts of interest before participating or making decisions on any grant awards.

Form 990, Part VI, Section B, Line 15

Line 15a: the compensation process for the executive director involves annually collecting comparable salary data for the executive committee to use in setting the salary. The executive committee is charged with the annual performance review as well as salary review and settings. All salary decisions are kept on file. Line 15b: the finance director reviews annually all staffing job titles, job descriptions and compensation levels using comparable salary data from several sources, including state employees and other non-profit data sets. This data is shared with executive director for use in review and salary adjustments for key personnel as well as all staffing.

Governing documents, conflict of interest policy, and audited financial statements are available to the public upon request. A financial summary is included in the annual report which is available on the council's website and in print. Some annual reports are mailed to contributors.

Board designated net assets the board of trustees has designated a separate fund to further the council's mission within the framework of its current programs; allowing the council to respond to emergency operating needs. The use of this fund requires approval of the board of trustees. Board designated emergency operating fund balances are $385,000 at june 30, 2024 and 2023. In 2018, the board of trustees established a strategic program reserve fund to enable the council to respond to urgent or unanticipated needs and opportunities: a board designated program reserve fund and a staff designated program reserve fund. The balance of the board designated program reserve fund is $60,000 at june 30, 2024 and 2023 and the balance of the staff designated program reserve fund is $126,702 at june 30, 2024 and 2023.

For tax exempt entities, tax exempt status is deemed to be an uncertainty, as events could potentially occur to jeopardize their tax exempt status. Management believes the council has no uncertain tax positions. The council anticipates that it will not have a change in uncertain tax positions during the next twelve months that would have a material impact on the council's financial statements. If necessary, the council would accrue interest and penalties on uncertain tax positions as a component of the provision for income taxes. The council is no longer subject to federal and state income tax examinations by tax authorities for years before the year ended june 30, 2021.

OPERATING GRANTS AWARDED IN THE COMMUNITY DEVELOPMENT PROGRAM (SEE 4A) ALSO SERVE STUDENTS BY SUPPORTING ARTS EDUCATION IN THEIR COMMUNITIES. THE COUNCIL AWARDED 17 GRANTS TO ORGANIZATIONS PROVIDING ARTS PROGRAMMING TO OLDER ADULTS THROUGH THE NEW CREATIVE AGING INITIATIVE. MORE THAN 2,900 STUDENTS PARTICIPATED IN A STATEWIDE POETRY RECITATION CONTEST FOR HIGH-SCHOOL STUDENTS. ARTS EDUCATION PROGRAMS INCLUDE OUTREACH TO RURAL, UNDERSERVED SCHOOLS, AND SUPPORT PROVIDED TO TEACHING ARTISTS, INCLUDING MAINTENANCE OF A STATEWIDE TEACHING ARTIST ROSTER AND PROFESSIONAL DEVELOPMENT WORKSHOPS.
