Governance Explanations

Form 990, Page 6, Part VI, Line 6

The vermont chamber of commerce consists of members, which are either, individuals, firms, corporations, chambers of commerce, community and cooperative organizations and associations who make a financial contribution in support of this chamber. The members are all entitled to one vote on each matter that is submitted to a vote of all members.

Form 990, Page 6, Part VI, Line 7A

The members shall attend the annual meeting held in september each year for the purpose of electing board members.

Form 990, Page 6, Part VI, Line 7B

Decisions of the governing body are subject to approval by members in rare instances. If there are such instances then they will be presented to the members at the annual meeting in october or at a special meeting called by the board of directors.

Form 990, Page 6, Part VI, Line 11B

The draft of the 990 is reviewed by management prior to filing. Final year end reports are reviewed with the board's finance committee with the auditors, and then to the board.

Form 990, Page 6, Part VI, Line 12C

The conflict of interest policy is distributed, collected and reviewed each year for each board member.

Form 990, Page 6, Part VI, Line 15A

The board has a compensation committee with a specific process and criteria for evaluating the president's compensation each year.

Form 990, Page 6, Part VI, Line 19

Supplemental Narrative

Additional Explanations

Form 990, Page 2, Part III, Line 4D

Governmental affairs: there are four lobbyists employed by the chamber who advocate on behalf of vermont businesses on issues identified as important to members. This is viewed as a significant benefit of membership in the chamber and does not generate direct revenue. Expenses are primarily personnel-related, and also include any outside consulting fees paid. Vace: the chamber was the administrator for the vace insurance program, a group dental and vision insurance association plan. The vace association plan covered nearly 1,000 small businesses in vermont. All premium billing, enrollments and customer service were handled by the chamber staff. Revenue to the chamber was in the form of monthly administrative contract fees based on the number of subscribers at the end of each month. Expenses relate to salaries, benefits and postage.

Financial Statement Notes

Schedule D, Page 3, Part X

The chamber believes that it has appropriate support for any tax positions taken and, as such, does not have any uncertain tax positions that are material to the financial statements.
