A management company runs the day-to-day activities of the organization.

Any corporation, firm, company, partnership, or other legal entity, or a division thereof, directly engaged in the business of generating broad-based acceptance of safety-grade photoluminescent products by safety professionals, shall be elgibile to become a regular member of the association. The board of directors may establish additional criteria for membership in its discretion. Psa has three classes of membership: -regular membership (voting) $2,000, one individual per corporation. -service organization membership (nonvoting), $250, for any corporation, partnership, agency, or individual not directly involved in photoluminescence, but providing services to the photoluminescent industry, including lawyers and insurance providers. -associate membership (nonvoting), $100, for students and faculty in academic institutions and include fire safety consultants.

Form 990, Part VI, Section A, Line 7A

A nominating committee shall annually recruit a slate of nominees such that there are at least a sufficient number to fill all available upcoming positions. Any member may self-nominate to be a candidate without a second. The nominating committee shall submit its slate of nominees to the board of directors for presentation to the membership for a vote. The list of candidates to the board of directors will be included in the annual meeting agenda. A. Composition. The nominating committee shall be composed of at least three members. No more than two members of the nominating commitee shall also be serving as a director or officer. The president shall act as the chair of the nominating committee. No director who will accept nomination by this committee for the succeeding board term shall serve on the committee. The membership of the nominating committee shall be published to the membership of the corporation no later than two months prior to the election of board members. B. Presentation of slate. At least 90 days prior to the election of the board members the nominating committee shall request from the membership recommendations for director nominees, and shall allow members a period of 30 days to submit such recommendations. At the close of such 30 day period and at least 45 days prior to the election of board members the nominating committee shall then present a slate of one or more candidates for each open director position for the board. Each nominee will be eligible for election to any of the board seats to be filled.

Any action required, or permitted to be taken, at any meeting of the board of directors may be taken without a meeting if written consent thereto is signed by all members of the board, and such written consent is filed with the minutes of proceedings of the board.
