Governance Explanations

Form 990, Part VI, Section B, Line 11B

The federal form 990 is prepared by an independent accounting firm. Once prepared, the draft version of the federal form 990 is reviewed by management and the audit committee. The final draft federal form 990 is then presented to the full board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each employee, officer and member of the board of directors signs a conflict of interest disclosure form on an annual basis, which is regularly monitored by the audit committee. If the board of directors or the members of the governing committee of the board has reason to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board of directors or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary action and corrective action. If the board of directors or board committee has reasonable cause to believe an interested person has failed to disclose actual or possible conflicts of interest, it shall inform the interested person of the basis for such belief and afford him/her an opportunity to explain the alleged failure to disclose. If, after hearing the interested person's response and after making further investigation as warranted by the circumstances, the board of directors or board committee determines he/she has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15

In 2022 meii commissioned an independent consultant to prepare a compensation benchmark study that included the president, vp/cfo (currently evp and treasurer) and associate vp. This study produced a report determining that meii's compensation was both reasonable and appropriate, and only minor adjustments to executive compensation have been made since the study was commissioned. Compensation is determined by independent persons within meii and this decision is documented in the board minutes.

Financial Statement Notes

PART IV, LINE 2B:

Under the terms of its loan guarantee programs, meii is at times required to hold funds designated for other organizations. The amounts received and disbursed by meii on behalf of third parties are not considered revenue and expenses of meii. The amounts represent guarantee fees paid by participating lenders to the guarantors and/or guarantee payments paid by the guarantors to participating lenders on loans in default. The balance of funds received by meii but not yet disbursed totaled $179,619 as of december 31, 2024, and is included in cash and cash equivalents and funds held for others in the accompanying statement of financial position.

PART X, LINE 2:

Meii performed an evaluation of uncertainty in income taxes for the year ended december 31, 2024, and determined that there are no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status.

STARTING IN PALESTINE IN 2008 AND EXPANDING TO TUNISIA IN 2015, MEII HAS FINANCED OVER $642 MILLION IN LENDING TO MORE THAN 4,773 BUSINESSES WITH A CUMULATIVE LOSS RATE OF LESS THAN 1.2%. OVER THIS PERIOD, AN ESTIMATED 42,267 JOBS HAVE BEEN CREATED AND SUSTAINED IN THE REGION. MEII STIMULATES LOCAL BANK LENDING BY PROVIDING PARTNER BANKS WITH LOAN GUARANTEES AND TECHNICAL ASSISTANCE TO ASSESS THE VIABILITY OF THEIR SME CLIENTS AND STRUCTURE LOANS TO MEET BORROWER WORKING CAPITAL AND LONGER-TERM CAPITAL NEEDS.
