The form 990 is first reviewed by the ceo and coo. After satisfactory review by management, the form 990 is given to the board audit & finance committee to conduct a review. Upon satisfactory review by the finance committee, the final 990 is provided to each director.

A. Each director, officer and employee is provided with and asked to review a copy of this policy and to acknowledge in writing that he or she has done so. B. Annually each director, officer and employee completes a disclosure form identifying any relationships, positions or circumstances in which he or she is involved that he or she believes could contribute to a conflict of interest. Such relationships, positions or circumstances might include service as a director or of consultant to another nonprofit organization, or ownership of a business that might provide goods or services to nextenergy. Any such information regarding the business interests of a director, officer, employee or volunteer, or a family member thereof, shall be treated as confidential and shall generally be made available only to the chair, the president, and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of this policy. C. This policy is reviewed annually by each member of the board of directors. Any changes to the policy shall be communicated to all directors, officers and employees.

Financial Statement Notes

PART X, LINE 2:

Nextenergy has received notification that it qualifies as a tax-exempt organization under section 501(c)(3) of the u.s. Internal revenue code and corresponding provisions of state law and, accordingly, is not subject to federal or state income taxes on related income. Nextenergy follows guidelines included in standards relating to the accounting for uncertainty in income taxes. The tax effects from an uncertain tax position can be recognized in the financial statements, only if the position is more likely than not to be sustained on audit, based on the technical merits of the position. Nextenergy recognizes the financial statement benefit of a tax position only after determining that the relevant tax authority would more likely than not sustain the position following an audit. For tax positions meeting the more likely than not threshold, the amount recognized in the financial statements is the largest benefit that has a greater than 50% likelihood of being realized, upon ultimate settlement with the relevant tax authority.
