“The board of trustees shall designate from among its members an executive committee, which shall consist of five or more trustees, including the chairman, the vice chairman, the secretary, and the treasurer of the corporation, which executive committee, to the extent provided in a resolution to the board, shall have and exercise the authority of the board of trustees in overseeing or guiding the management of the affairs of the corporation.”
