The sentence "Voting by proxy shall not be permitted." was removed. 2. An Action by Writing paragraph was added, which reads "Any action required or permitted to be taken at any meeting of the Directors may be taken without a meeting if all the Directors consent to the action in writing and the written consents are filed with the records of the meetings of the Directors. Unless otherwise provided by law or the Articles of Agreement a "writing" shall include communication from a Director by electronic mail ("email"), facsimile, scan, or similar electronic communication. Such consents shall be treated for all purposes as a vote at a meeting." 3. A Presence Through Communications Equipment paragraph as added, which reads, "Unless otherwise provided by law or the Articles of Agreement, Directors may participate in a meeting of the Board of Directors by means of a conference telephone or similar communications equipment by which all persons participating in the meeting can hear each other at the same time, and participation by such means shall constitute presence in person at a meeting."”

“The compensation committee of the Board utilizes outside compensation consultants to evaluate the salaries for the CEO, CFO, and COO. The consultants utilize their internal data along with national and local benchmark data from the industry to develop salary levels. Recommendations of the consultant are reviewed by the compensation committee, who recommends compensation levels to the full Board for approval. An outside consulting firm is also used by the organization to review the compensation of the remainder of the Vice Presidents. Again, national and local benchmarks for salaries are consulted to determine salary levels for these positions.”
