The Organization has a class of members. Please refer to the Form 990, Part VI, line 7a narrative response on Schedule O for further details.

Form 990, Part VI, Section A, line 7A

Membership in the corporation is open to any individual, organization, professional association, government body, business, or foundation demonstrating support for the corporation and its purposes and upon paying the annual membership fee. Membership will continue so long as payment of the annual membership fee is current. Each member has one vote in corporate matters and one vote on all matters to be considered by the members, and the vote of a majority of the members present at any properly constituted meeting shall be necessary to adopt proposals. An annual meeting of the members is held on a date during November as designated by the Board of Directors, at which members shall elect the Board of Directors.

Form 990, Part VI, Section A, line 8B

No committees may act on behalf of the governing body. The Organization does maintain committees that report to the Board, including the Nominating Committee, Ad Hoc Membership Committee, Finance Committee, Development Committee, and Strategic Planning Committee.

Form 990, Part VI, Section B, line 11B

Executive management engages a public accounting firm to prepare the annual 990. Once the 990 is completed, it is reviewed by management and provided to the Board of Directors for approval prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

All Board members and key employees are required to complete a conflict of interest statement at time of appointment/hire. The statement is then re-signed annually, for review by the Board President/Chair and Executive Director for any potential conflicts. The completed forms are confidentially held in the Human Resources office and/or secured SharePoint site. If the perception of a conflict of interest arises with a member of the Board during any meeting, that member recuses him/herself from all discussion and voting by leaving the room/Zoom meeting.

Executive Leadership and HR perform periodic market review analyses of compensation, based upon comparable criteria of organizations of similar size, expertise, and location/regionality (including both non-profit and for-profit sectors) for all positions within the organization. Additional Explanations

Form 990, Part III, line 3

During FY25, the Organization ceased operations of its Mobile Clinic Program. Preparations were made within the reporting year to transition the program, including beginning the process of selling the mobile clinic van assets. In place of the mobile clinic, the Organization developed a restructured approach focused on chronic disease prevention and management. The new initiative is designed to deliver the same preventative health services previously provided by the Mobile Clinic - such as screenings, health education, and outreach through alternative community-based strategies. This transition ensures continued access to preventative care for underserved populations while optimizing resources and expanding the Organization's capacity to address chronic disease regionally. By reallocating assets and staff expertise from the mobile clinic to the chronic disease program, the Organization aims to strengthen population health outcomes, enhance preventive care delivery, and maintain alignment with its mission of improving community health across Northern New Hampshire.

Financial Statement Notes

Part X, Line 2:

The Organization is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and is not classified as a private foundation. However, income from certain activities not directly related to the Organization's tax-exempt purpose is subject to taxation as unrelated business income. The Organization had no unrelated business income activity subject to taxation for the years ended September 30, 2025 and 2024. The Organization has adopted the provisions of Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) Subtopic 740-10, Income TaxesOverall. FASB ASC Subtopic 740-10 prescribes a recognition threshold and measurement attributable for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. Based on management's evaluation, management has concluded that there were no significant uncertain tax positions requiring recognition in the financial statements at September 30, 2025 and 2024. Although the Organization is not currently the subject of a tax examination by the Internal Revenue Service or the State of New Hampshire, the Organization's tax years ended September 30, 2022 through September 30, 2025 are open to examination by the taxing authorities under the applicable statute of limitations.

Programming focused on workforce education and training, substance misuse prevention, and community/public health, with services delivered across predominantly rural and underserved regions. Program activities accounted for a significant majority of organizational expenditures, reflecting a strong commitment to direct community impact.Workforce Education and TrainingThe Organization made substantial contributions to strengthening the regional health and human services workforce, with approximately 33% of program expenditures dedicated to workforce education and training activities. Through its Area Health Education Center (AHEC) and related programs, the Organization maintained accreditation to provide continuing medical and nursing education, ensuring ongoing access to high-quality professional development within the region.During the year, the Organization delivered multiple evidence-based training initiatives, including coaching and supervision training for healthcare leaders to improve workforce retention and effectiveness. Partnerships with state and national organizations enabled the delivery of these trainings at no cost to participants, reducing barriers to access. Additionally, the Organization convened workforce development events such as the North Country Weekend program, engaging medical students and faculty and promoting rural healthcare career pathways.New programming included the integration of Community Health Worker (CHW) and Doula services, providing one-on-one support to pregnant individuals through pregnancy and up to one year postpartum. The Organization also expanded CHW services to address increasing demand among individuals with chronic disease, particularly in rural areas, where access gaps resulted in documented waitlists for services. Collectively, these efforts strengthened workforce capacity, improved provider skills, and expanded access to care for vulnerable populations.Substance Misuse PreventionThe Organization demonstrated leadership in substance misuse prevention and recovery through comprehensive, community-based strategies. Approximately 49% of program expenditures supported substance misuse and community health programming, reflecting the scale and priority of this work.The Organization supported prevention coalitions and initiatives, including the development of the North Country Community of Prevention Practices to Educate and Reduce Stigma (NC COPES), a youth-focused initiative aimed at reducing stigma and empowering young people to lead prevention efforts in their communities. Additional prevention programming included public education campaigns, safe prescription disposal initiatives such as the "Dealer at Your Door" program, and widespread distribution of harm reduction resources, including over 800 safe sex kits to prevent the spread of infectious disease.Community engagement efforts reached diverse populations through public events, media campaigns (including regional television and radio), and educational programming addressing substance use and recovery.
