Governance Explanations

Form 990, Part VI, Section B, line 11B

The 990 is reviewed by the CFO and President before presenting to the Treasurer of the Board of Directors. The Treasurer of the Board of Directors and the Audit/Finance Committee will also review the 990. The full Board of Directors receives a copy of the 990 before submission to the IRS.

Form 990, Part VI, Section B, line 12C

Board Members sign a conflict of interest statement upon joining the Board. The Board members must report to the Board any conflicts that occur during the course of business throughout the year. Any potential conflicts would be discussed at the Governance/Nominating Committee level and then reported to the Board.

Form 990, Part VI, Section B, line 15

CEO compensation is determined by a performance review of the CEO by the CEO compensation committee. To provide performance feedback, studies of comparable salaries of CEO's in the same geographic region with similar budgets are also done as part of the review process. The CEO compensation committee then makes a recommendation on the compensation to the Board of Directors, who votes on the change in CEO salary for the following budget year. Senior leadership compensation is determined by performance and annual market analysis of like positions, within the same geographic region, with similar sized non-profit organizations. All salary increases are reviewed through our annual compensation review process and the board of directors approves the overall budget for the following year which would include such increases based on the recommendations by the CEO.

The standards for accounting for uncertainty in income taxes require the Organization to report any uncertain tax positions and to adjust its consolidated financial statements for the impact thereof. As of December 31, 2024 and 2023, the Organization determined that it had no tax positions that did not meet the more-likely-than-not threshold of being sustained by the applicable tax authority. The Organization files an informational return in the United States. This return is generally subject to examination by the federal government for up to three years.
