Governance Explanations

Form 990, Part VI, Section B, Line 11B

The return is reviewed by the treasurer, finance committee, and then the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The board and employees must sign a conflict of interest disclosure form upon affiliation. Board members will sign again upon renewal of his/her term upon commitment of serving three years. The ceo reviews all contracts and expenditures to ensure no conflicts of interest occur during the year. Any potential conflicts are then discussed at the governance committee level and brought to the full board if necessary.

Form 990, Part VI, Section B, Line 15

The board obtains information from other nonprofits in the area to compare the ceo's pay using various criteria (length of service, education, etc.). A formal evaluation is given to the ceo by the board president and presidentelect with input from the entire board. Officers do not receive compensation.

Form 990, Part VI, Section C, Line 19

Documents are made available to the public upon request.
