Governance Explanations

FORM 990, PART VI, SECTION A, LINE 1A:

The executive committee shall consist of the board chair, president, secretary (only if the secretary is a trustee), treasurer (only if the treasurer is a trustee) and chair of the audit and compliance committee. The executive committee has the authority to act in the stead of the full board between meetings if needed. The executive committee (or other designated trustees) may also review new trustees nominated by the president prior to election by the board. Form 990, part vi, section a, line 2: paul j. Leblanc and winnie lerner both serve on the board of motivis learning systems, inc. Form 990, part vi, section a, line 4: the bylaws were amended to increase the maximum number of trustees from 15 to 16.

FORM 990, PART VI, SECTION B, LINE 11:

The draft of the form 990 is presented to the audit and compliance committee of the board of trustees for their review. After any recommended changes, the form 990 is then made available to all trustees for their review.

FORM 990, PART VI, SECTION B, LINE 12C:

It is the policy of the university that conflicts of interest between the university and its trustees, officers and employees be avoided and that pecuniary benefit transactions be disclosed and approved by the board. The university follows all statutory requirements of the federal and state laws which apply to the university, including the provisions of rsa 7:19-a as the same may be amended from time to time. All potential conflicts or pecuniary benefit transactions as defined by said statute shall be reported to the board and acted upon by it as required by law, and no person shall vote or be present for the action by the board in relation to any such matter involving that person. Additionally, annual surveys are conducted about any potential conflicts and disclosures, and, if any arise, they are reviewed. Form 990, part vi, section b, line 14: certain departments have document retention and destruction policies; however, the university does not have a comprehensive policy that has been approved by the board or an authorized committee.

FORM 990, PART VI, SECTION B, LINE 15:

For fiscal year 2021, compensation of the president, other officers(with the exception of the assistant treasurer) and the key employees was set by an independent committee of the board of trustees after reviewing comparable compensation information. Decisions regarding the compensation arrangements were contemporaneously documented. The compensation of the assistant treasurer was set using the standard method the university uses for other employees.

Instruction and Student Services: Southern New Hampshire University ("The University") is a private coeducational institution. Our degree-seeking student population consists of approximately 4,513 traditional undergraduate and graduate day students; 157,402 undergraduate and graduate distance education students; and 3,651 students in competency-based education programs. The University offers 51 certificate programs in a variety of fields. The University offers 17 Associate's degree programs in Accounting, Information Technologies, Education, Digital Photography, Fashion Merchandising, Healthcare Management, Liberal Arts, Criminal Justice, General Studies, Marketing, Business Administration, Computer Science, Cyber Security, Data Analytics and Marketing. Bachelor degrees are offered in 187 programs in Business, Education, Healthcare, Nursing, Mathematics, Information Technology, Computer Science, Liberal Arts, Social Science, Engineering, Air Traffic Management, Aviation Management, Construction Management, Biology, Physics, and many more. Master's degrees are offered in 133 programs in Business Administration, Accounting, Business Disciplines, Data Analytics, Cyber Security, Information Technology, Clinical Mental Health Counseling, Fine Arts, Education, Healthcare, Nursing, and several Liberal Arts disciplines. The university maintains an art collection that supports the university's curricula and provides a source of enjoyment, enlightenment, and beauty for all who visit the art gallery and campus. Artistic works from the collection are also available for lending to other institutions. Schedule d, part v, line 4: the university's endowment provides scholarships to students as well as support for academic and student programs. Schedule d, part x, line 2: the university is a tax-exempt organization as described in section 501(c)(3) of the internal revenue code (irc) and is generally exempt from federal and state income taxes under 501(a) of the irc and applicable state laws. The university believes it has no significant uncertain tax positions.
