Pursuant to the Corporation's Articles of Agreement, each of the following actions by the Corporation's Board of Trustees shall also be expressly approved by the Sole Member: - Any repeal, alteration or amendment of the Articles of Agreement or Bylaws of the Corporation; - Any change in the philosophy, objectives or purposes of the Corporation or its ethical and religious standards; - Any conveyance, purchase, sale or lease of, or grant of mortgages, trust deeds or creation of other liens or encumbrances on assets of the Corporation or the incurring of any indebtedness, when the value of the property falls within the minimum and maximum amounts promulgated by the United States Conference of Catholic Bishops and consistent with the provisions of the 1983 Code of Canon Law, particular or diocesan law and any subsequent revisions thereof; - Any merger with or consolidation of the Corporation or any of its divisions into another entity, or acquisition by the Corporation of substantially all of the assets of another entity or the sale or lease of substantially all of the assets of the Corporation to any person or entity; - Any creation of an affiliate or subsidiary organization, or any affiliation of the Corporation with any other entity for the purpose of the joint conduct of business or other programs, whether in the form or participation in a corporation (either through the holding of stock or membership), partnership, joint venture, co-tenancy or any other form of ownership or control; and - The dissolution or liquidation of the Corporation.

A draft of the Form 990 is prepared by an outside independent accounting firm, then provided to management for review. Once management has approved the draft Form 990, it is emailed to the governing body for the review prior to filing with the IRS.

All Trustees and officers are required to complete a conflict of interest form annually. The forms are monitored and reviewed by the Chief Operations Officer after they are completed for any conflicts or potential conflicts of interest.

The Executive Committee reviews the performance of the President and Chief Executive Officer and sets executive compensation for the President and Chief Executive Officer. Unless his or her attendance is requested by a majority of the Executive Committee members, the President and Chief Executive Officer is absent from that portion of any meeting during which performance or executive compensation is being discussed. The President and Chief Executive Officer determines compensation for leadership staff, subject to the direction and control of the Board of Trustees.

Endowment funds are intended to be used in a manner consistent with the organization's mission and the donor's stated restrictions. Specifically, endowment funds are reserved to advance the following purposes: benefits for the elderly; benefits for children; and other charitable and assistance programs.

Part X, Line 2:

The Organization is exempt from federal and state income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes has been recorded in the accompanying combined financial statements. Management evaluated the Organization's tax positions and concluded the Organization has maintained its tax-exempt status, does not have any significant unrelated business income and has taken no uncertain tax positions that require adjustment to the accompanying combined financial statements.
