“LRGHealthcare filed a petition for reorganization under Chapter 11 of the Bankruptcy Code on October 19, 2020. Additionally, on October 19, 2020, the LRGHealthcare entered into an asset purchase agreement with Concord Hospital, Inc. to acquire certain assets of Lakes Region General Hospital and Franklin Regional Hospital. As a result of these transactions, LRGHealthcare implemented a new Wind Down Board of Trustees, to faciliate LRGHealthcare's transition into the Concord Hospital System. The Wind Down Board, with the assistance of Craig Jalbert, a consultant with the firm Verdolina & Lowey, P.C., will exercise oversight, selection, and review of LRGHealthcare's audit process.”
“LRGHealthcare and Subsidiary's consolidated financial statements have been prepared under the assumption that they will continue as a going concern. In an effort to achieve liquidity that would be sufficient to meet all of their commitments, LRGHealthcare and Subsidiary has undertaken a number of actions, including cost cutting and other initiatives. However, management believes that even after taking these actions, the Hospitals will not have sufficient liquidity to satisfy all of their future financial obligations, comply with their debt covenants, and execute their business plan. As a result, LRGHealthcare filed a petition for reorganization under Chapter 11 of the Bankruptcy Code on October 19, 2020. The risks and uncertainties surrounding the Chapter 11 case, the events of default under the Hospitals' credit agreements, and the other conditions impacting LRGHealthcare and Subsidiary's activities raise substantial doubt as to their ability to continue as a going concern. Although Management believes that the reorganization of LRGHealthcare through Chapter 11 will position the Hospitals for sustainable growth opportunities, the Chapter 11 filing caused an event of default under the Credit Agreements, which is stayed during the pendency of the bankruptcy proceeding. Further, there are several risks and uncertainties associated with the Hospitals' bankruptcy, including, among others: (a) the Hospitals' pre-packaged plan of reorganization may never be confirmed or become effective, (b) the Bankruptcy Court may grant or deny motions in a manner that is adverse to the Hospitals and their subsidiary, and (c) the Hospitals' Chapter 11 case may be converted into a Chapter 7 liquidation. On October 19, 2020, the Hospitals entered into an asset purchase agreement (the Agreement) with Concord Hospital, Inc. (the Buyer) to acquire certain assets of Lakes Region General Hospital and Franklin Regional Hospital. Upon execution of the Agreement, the Hospitals filed a voluntary case under Chapter 11 of the United States bankruptcy code. As a result, the Agreement is subject to bankruptcy proceedings, including a formal bid process and auction (that was completed in December 2020) as well as subsequent regulatory approvals. On October 19, 2020 (the Petition Date), the Hospitals filed the Chapter 11 case in the U.S. Bankruptcy Court for the District of New Hampshire (the Bankruptcy Court). The Hospitals will continue to operate their business as a "debtor in possession" under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code and the orders of the Bankruptcy Court. The Chapter 11 case is being jointly administered under the caption In re LRGHealthcare, Debtor, Case No. 20-10892 (MAF). A Sale-Procedures Order was entered on November 2, 2020. Pursuant to the Sale-Procedures Order, the Sale Hearing was held and concluded before the Court on December 21, 2020 at 10:00 a.m. (EST). On December 24, 2020, the court entered the Order (I) Approving the Sale of Substantially All of The Debtor's Estate Free and Clear of All Interests, (II) Approving the Assumption and Assignment of Certain Executory Contracts and Unexpired Leases, and (III) Granting Related Relief. LRGHealthcare cannot predict the ultimate outcome of the Chapter 11 case.”

| IRS990/Desc | 0 | LRGHealthcare (the Institution) is a New Hampshire not-for-profit corporation that owns and operates two hospitals and their affiliated programs and services in the Twin Rivers and Lake Winnipesaukee regions of NH approximately 90 miles north of Boston, MA. The Institution is the corporate name for the healthcare system comprised of Lakes Region General Hospital (LRGH) and Franklin Regional Hospital (FRH). LRGH is located in Laconia, New Hampshire. LRGH, designated as a rural referral center and sole community hospital under Medicare, is a community and regional acute care facility with a licensed bed capacity of 137 beds. FRH, designated as a critical access hospital under Medicare, is a 35 bed community hospital serving the Greater Franklin, New Hampshire community. On July 1, 2002, LRGH merged with FRH to become LRGHealthcare (The Institution). The Institution offers a broad range of medical, surgical, specialty and sub-specialty services to adults, children, and infants. As a community-based institution, the Institution offers all the inpatient services of an acute care, community hospital system. In addition, the Institution offers specialty services not commonly found in comparable hospitals, including vascular surgery and specialty services in oncology and nephrology. Traditional services include: medical, surgical and pediatric care, psychiatric services, skilled nursing care, intensive care, obstetrics/gynecology, clinical laboratory services, nutrition services, pharmacy services, radiology services (including CT, MRI, PET/CT and nuclear medicine), rehabilitation services (physical therapy, occupational therapy, and speech therapy), cardiopulmonary/respiratory services, patient education services, chaplaincy, and patient/family (social) services. LRGH also has established a physician hospitalist program and intensivists program to accept referrals in a more streamlined fashion and facilitate efficiencies in inpatient care. Total acute inpatient admissions were 3,721 during fiscal year ending September 30, 2020. The Institution maintains swing beds at both LRGH and FRH. Swing beds are acute care licensed beds that can be used as nursing home beds and provide the Hospitals with additional reimbursement for their senior or other long-term patients. Both LRGH and FRH are eligible to maintain swing beds. Total swing bed admissions were 231 during fiscal year ending September 30, 2020. LRGH is a state designated level 3 trauma center. In addition to its two hospital facilities, the Institution has over 25 other sites where it operates outpatient and ambulatory services. The outpatient registrations were 245,964 in fiscal year ending September 30, 2020. The most significant facilities include: the Laconia Clinic (the Clinic) is a 26-physician provider-based department (under Medicare) of LRGH located less than one mile from the main Laconia campus. The Clinic and LRGH operating agreements benefit the community by preserving and enhancing access to a broad range of benefits and medical services. Both entities believe that the concept has provided community benefits and efficiencies and also offered opportunities to more effectively advance quality healthcare, including outcomes. The major components of the Clinic in Laconia, NH consist of a two operating room ambulatory surgical center and ancillary services including laboratory, X-ray, and physical therapy. The LRGHealthcare Ambulatory Surgical Center (ASC) at Hillside Medical Park (which is approximately, 1.4 miles from the LRGH campus) is 65% owned and operated by LRGH. ASC provides an alternate location for patients requiring one-day orthopedic surgeries (such as hand, wrist, knee, and shoulder), ENT surgeries, as well as pain management services. The services offered by ASC are designed to complement the broader range of inpatient and outpatient surgical services available at LRGH.
