Effective june 30, 2018, humility of mary housing, inc. Merged into humility of mary shelter, inc. And ceased to exist. Humility of mary shelter, inc. Adopted the name of humility homes and services, inc. The bylaws of this organization were updated in 2019 and approved by the board.

Form 990, Part VI, Section A, Line 7B

As stated in humility homes & services, inc.'s bylaws the president and cabinet of the congregation of the humility of mary have the following powers, duties, and rights : 1. To amend, revise, or alter the articles of incorporation or the bylaws of the corporation. 2. To remove, with or without cause, members of the board of directors of the corporation. 3. To approve any merger or consolidation of this corporation into or with any other corporation, organization, or association, and the dissolution or otherwise wrapping up of the affairs of the corporation. 4. To approve the sale, lease, exchange, mortgage, pledge, or other disposition of all, or substantially all, of the corporation's assets. 5. To incorporate or establish new or affiliated entities, organizations, or associations.

It is in the best interest of humility homes & services (hhsi) to be aware of and properly manage all conflicts of interest and appearances of a conflict of interest. This conflict of interest policy is designed to help directors, officers, employees, agents, consultants, officers, and volunteers, elected or appointed officials or board members of hhsi to identify situations that present potential conflicts of interest and to provide hhsi with a procedure to appropriately manage conflicts in accordance with legal requirements and the goals of accountability and transparency in hhsi operations i. Conflict of interest defined in this policy, a person with a conflict of interest is referred to as an "interested person." for purposes of this policy, the following circumstances shall be deemed to create a conflict of interest: a. A director, employee, agent, consultant, officer, volunteer, elected or appointed official, or board member (or family member of any of the foregoing) is a party to a contract, or involved in a transaction with hhsi for goods or services. B. A director, employee, agent, consultant, officer, volunteer, elected or appointed official or board member (or family member of any of the foregoing) has a material financial interest in a transaction between hhsi and any entity in which the director, officer, employee or volunteer, or a family member of the foregoing, is a director, officer, agent, partner, associate, employee, trustee, personal representative, receiver, guardian, custodian, or other legal representative. C. A director, employee, agent consultant, officer, volunteer, elected or appointed official or board member, (or a family member of the foregoing) is engaged in some capacity or has a material financial interest in a business or enterprise that competes with hhsi. Other situations may create the appearance of a conflict, or present a duality of interests in connection with a person who has influence over the activities or finances of the nonprofit. All such circumstances should be disclosed to the board or staff, as appropriate, and a decision made as to what course of action the organization or individuals should take so that the personal interests of stakeholders in the nonprofit do not compromise the best interests of the nonprofit. Gifts, gratuities and entertainment: accepting gifts, entertainment or other favors from individuals or entities can also result in a conflict or duality of interest when the party providing the gift/entertainment/favor does so under circumstances where it might be inferred that such action was intended to influence or possibly would influence the interested person in the performance of his or her duties. This does not preclude the acceptance of items of nominal or insignificant value or entertainment of nominal or insignificant value which are not related to any particular transaction or activity of hhsi. Ii. Procedures. 1. Prior to a board or committee action on a contract or transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose all facts material to the conflict of interest. Such disclosure shall be reflected in the minutes of the meeting. If board members are aware that staff or other volunteers have a conflict of interest, relevant facts should be disclosed by the board member or by the interested person him/herself if invited to the board meeting as a guest for purposes of disclosure. 2. A director or committee member who plans not to attend a meeting at which he or she has reason to believe that the board or committee will act on a matter in which the person has a conflict of interest shall disclose to the chair of the meeting all facts material to the conflict of interest. The chair shall report the disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting. 3. A person who has a conflict of interest shall not participa

SERVICE COORDINATORS HELP THE PARTICIPANTS TO ASSESS THEIR OWN NEEDS, AND CONNECT THEM TO RESOURCES THAT WILL HELP TO MEET THOSE NEEDS. VETERANS TRANSITIONAL PROGRAM:THE VETERANS TRANSITIONAL PROGRAM PROVIDES 13 BEDS AND SERVICE COORDINATION TO HOMELESS VETERANS WITH THE GOAL OF HELPING THOSE VETERANS ACHIEVE RESIDENTIAL STABILITY, INCREASE THEIR SKILL LEVELS AND/OR INCOME, AND OBTAIN GREATER SELF-DETERMINATION. THIS PROGRAM OFFERS SUPPORTIVE HOUSING FOR UP TO 24 MONTHS AND WORKS IN CONJUNCTION WITH THE LOCAL V.A. SERVICE CENTER TO OFFER QUALIFYING VETERANS SERVICES SUCH AS CASE MANAGEMENT, EDUCATION, JOB TRAINING, CRISIS INTERVENTION, AND COUNSELING.PERMANENT SUPPORTIVE HOUSING PROGRAM:OUR PERMANENT SUPPORTIVE HOUSING PROGRAM ASSISTS HOMELESS PERSONS EXPERIENCING HOMELESSNESS WITH SEVERE AND PERSISTENT MENTAL ILLNESS, PERSONS IN RECOVERY FROM DRUG AND/OR ALCOHOL DEPENDENCE, AND PERSONS WITH CHRONIC ILLNESS OR PHYSICAL DISABILITIES. THESE INDIVIDUALS RECEIVE LONG-TERM SUPPORT TO HELP THEM MOVE TOWARD WELLNESS AND TO FURTHER THEIR SELF-SUFFICIENCY BY IDENTIFYING AND WORKING TOWARD SHORT-TERM OBJECTIVES AND LONG-TERM GOALS. SERVICE COORDINATORS ASSIST OUR PARTICIPANTS TO IDENTIFY RESOURCES THAT WILL HELP THEM TO WORK THROUGH PROBLEMS AND SITUATIONS THAT HAVE CONTRIBUTED TO THEIR HOMELESSNESS. THE PERMANENT HOUSING PROGRAM PROVIDES A SAFE AND SUPPORTIVE ENVIRONMENT FOR PROGRAM RESIDENTS TO PURSUE THEIR DREAMS. VETERANS ACCESSING LONG-TERM OPPORTUNITIES & RESOURCES PROGRAM (VALOR):THE VALOR PROGRAM SERVES VERY LOW INCOME VETERANS (SINGLES OR FAMILIES) FROM SCOTT AND ROCK ISLAND COUNTIES WHO ARE HOMELESS OR AT IMMINENT RISK OF BECOMING SO. AN INTAKE COORDINATOR AND TWO SERVICE COORDINATORS ASSIST PROGRAM PARTICIPANTS TO RAPIDLY RETURN TO PERMANENT HOUSING, OR TO MAINTAIN THEIR CURRENT HOUSING, WHILE HELPING THEM ADDRESS THE ISSUE THAT LED TO THEIR HOUSING CRISIS.
