The form 990 is reviewed by the chief finance officer and chief executive officer and then brought to the finance committee of the board of directors for approval and finally to the whole board of directors for approval before being submitted.

Form 990, Page 6, Part VI, Line 12C

It is in the best interest of humility homes & services (hhsi) to be aware of and properly manage all conflicts of interest and appearances of a conflict of interest. This conflict of interest policy is designed to help directors, officers, employees, agents, consultants, officers, and volunteers, elected or appointed officials or board members of hhsi to identify situations that present potential conflicts of interest and to provide hhsi with a procedure to appropriately manage conflicts in accordance with legal requirements and the goals of accountability and transparency in hhsi operations. I. Conflict of interest defined in this policy, a person with a conflict of interest is referred to as an ""interested person."" for purposes of this policy, the following circumstances shall be deemed to create a conflict of interest: a. A director, employee, agent, consultant, officer, volunteer, elected or appointed official, or board member (or family member of any of the foregoing) is a party to a contract, or involved in a transaction with hhsi for goods or services. B. A director, employee, agent, consultant, officer, volunteer, elected or appointed official or board member (or family member of any of the foregoing) has a material financial interest in a transaction between hhsi and any entity in which the director, officer, employee or volunteer, or a family member of the foregoing, is a director, officer, agent, partner, associate, employee, trustee, personal representative, receiver, guardian, custodian, or other legal representative. C. A director, employee, agent consultant, officer, volunteer, elected or appointed official or board member, (or a family member of the foregoing) is engaged in some capacity or has a material financial interest in a business or enterprise that competes with hhsi. Other situations may create the appearance of a conflict, or present a duality of interests in connection with a person who has influence over the activities or finances of the nonprofit. All such circumstances should be disclosed to the board or staff, as appropriate, and a decision made as to what course of action the organization or individuals should take so that the personal interests of stakeholders in the nonprofit do not compromise the best interests of the nonprofit. Gifts, gratuities and entertainment: accepting gifts, entertainment or other favors from individuals or entities can also result in a conflict or duality of interest when the party providing the gift/entertainment/favor does so under circumstances where it might be inferred that such action was intended to influence or possibly would influence the interested person in the performance of his or her duties. This does not preclude the acceptance of items of nominal or insignificant value or entertainment of nominal or insignificant value which are not related to any particular transaction or activity of hhsi. Ii. Procedures. 1. Prior to a board or committee action on acontract or transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose all facts material to the conflict of interest. Such disclosure shall be reflected in the minutes of the meeting. If board members are aware that staff or other volunteers have a conflict of interest, relevant facts should be disclosed by the board member or by the interested person him/herself if invited to the board meeting as a guest for purposes of disclosure. 2. A director or committee member who plans not to attend a meeting at which he or she has reason to believe that the board or committee will act on a matter in which the person has a conflict of interest shall disclose to the chair of the meeting all facts material to the conflict of interest. The chair shall report the disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting. 3. A person who has a conflict of interest shall not partici

The executive committee of the board of directors conducts the annual review of the chief executive officer including a review of the job description. The board receives a payscale markert rate comparison report from a third party human resources company. The report shows the average salary and benefits for ceos in the market for an agency of equal size. Taking this in to consideration, the board of directors evaluates and votes on compensation for the ceo.

The process for determining the finance director and program director's salary is a yearly performance review, and compensation is determined by the executive director. The executive director's salary is determined by the board of directors after a yearly performance review by the executive committee. The board approves the performance review and raise if applicable. The executive committee reviews compensation of similar nonprofits to determine an appropriate salary range. They then present their review to the full board for approval. The compensation review and approval process is documented in the executive committee meeting minutes. This compensation review happens in december each year and is put into effect in the following month.

During fy 24, the agency fully launched the supportive housing program for 15 families and 20 individuals through scott county arpa funding. This program began during the previous fiscal year with the agency purchasing the capital for this program and enrolling a few clients, but the bulk came during this fiscal year.

Mission focused housing offers affordable rental units, and cost effective, low barrier, quality housing for individuals and families in a community where affordability is becoming more scarce. Supportive housing assists persons who are living with disabilities and have experienced longterm homelessness, with the housing, financial assistance and service coordination they need to remain in safe, affordable housing and out of more costly systems of care, such as health care and criminal justice systems. Emergency shelter is a 88 bed, lowbarrier emergency shelter serving all genders 18 years of age and older. From december 1st to april 15th, humility homes and services operates the winter overflow shelter, providing a warm space and services for persons not able to gain access to the year round shelters in the quad cities.

Humility homes and services, inc. Qualifies as a tax-exempt organization under section 501(c)(3) of the u.s. Internal revenue code and is not subject to federal or state income taxes. The organization evaluates the tax benefits of a tax position using the "more likely than not" threshold. As of june 30, 2024, management is not aware of any uncertain tax positions and related tax benefits which would be material to the organization's consolidated financial statements. The organization files u.s. Federal and state information returns which for fiscal years subsequent to 2020 are subject to examination by taxing authorities.
