As a delaware nonstock corporation, the organization has members. The organization's members are the directors of the organization. The members elect the directors and have certain additional rights as provided under delaware law.

Members are elected by current members of the organization in the context of the election of directors and hold office for a term of three years or until their earlier resignation or removal by a vote of a majority of the members.

Following completion of form 990, it is reviewed by the organization's president, treasurer, secretary, and counsel and it is then provided to all directors for review prior to filing.

All officers and directors are required to annually submit a signed conflict of interest statement to the board of directors. As such, there is an understanding among these individuals that any transactions that could be deemed a conflict of interest would be brought to the attention of the entire board and the proper procedures would be implemented based on the policy.

The federal and state of new hampshire tax returns of the foundation are subject to examination, generally for three years after they are filed.
