“The executive committee shall, subject to limitations set by the board of directors, act with the full authority of the board of directors for the transaction of business between meetings of the board. The president will report actions of the executive committee to the board of directors. The executive committee will establish the agenda for the board meetings and the annual meeting. Composition. The executive committee shall consist of the president, president-elect, immediate past president, secretary, treasurer of the board of directors and one (1) member of the board of directors elected at large. The member-at-large is a duly elected board member who is elected at large from the board to serve on the executive committee. This position is elected at the first full board meeting following the annual meeting.”

“Enforcement of conflicts policy the conflict of interest policy requires that each board member list the organizations with which they are affiliated. If there is potential business between the new england rural health association and any of these businesses the board member must refrain from discussion and voting on the issue. This process is monitored by the executive committee, board president and chief operating officer.”
“1. The board president will appoint an individual or small task force to manage the performance review, and create a reasonable timeframe to include all aspects of the review. 2. The appointed individual or task force and the executive director will finalize the document(s) to be used for the review, based on a combination of the executive director's job description and the annual goals from the strategic plan. Every board member will receive a copy of the survey and be asked for input. 3. The executive director will be asked to prepare a self-evaluation to be shared with all board members. 4. The appointed individual or task force will create a report, summarizing the input from the survey. 5. The executive committee will designate a time to discuss the results of the report with the executive director, documenting any recommendations or next steps from that discussion. 6. If the board wishes to adjust the executive director's compensation based on the outcome of the conversation, salaries paid to executive directors of at least 3 comparable organizations will be provided to the full board when deciding upon a salary adjustment. 7. The full board will vote to approve the adjusted salary and the vote will be recorded in the meeting minutes. The process described here was last completed in 2024.”
