PBMC (EIN# 01-0285286) was the sole member of PBPA until it merged with MaineHealth (EIN: 01-0238552) on 1/1/19. MaineHealth is the sole member of PBPA and has the right to approve significant decisions of the governing body.

At the beginning of board service, members are required to document any conflict of interest that may exist. They are required to report any additional conflicts that may arise. The organization reviews the responses to these documents and addresses any issues immediately. Board member conflict of interest forms are updated and reviewed annually.

Compensation for Top Official The process followed for determining compensation of the CEO compensated by this or other related organization is a formal process performed annually by the Executive Committee of the Board of Directors. A related organization uses an outside firm, Sullivan Cotter, to perform an independent benchmark analysis for the CEO of Pen Bay Physicians & Associates, along with other executives in MaineHealth Services. The firm meets with the Executive Committee to review each executive's benchmark report. The Committee then deliberates on MaineHealth Services written salary and incentive plan philosophy before making a final decision. All decisions and meetings are captured in minutes and there are appropriate approvals at all levels. Compensation for Officers At the time of hire the Compensation department utilizes market data to provide an accurate, competitive and apporpriate offer. On an annual basis officers receive a merit increase related to the results of their annual performance appraisal performed by the CEO. At this time it is evaluated if an additinoal bonus will be provided based upon budget and performance, this is at the discretion of the CEO, CFO and HR Director.

Financial Statement Notes

Part X, Line 2:

The Internal Revenue Service has previously determined that the MaineHealth System and its subsidiaries (except Maine Medical Partners (MMP) (a subsidiary of MaineHealth)) are organizations as described in Section 501(c)(3) of the Internal Revenue Code (IRC) and are exempt from federal income taxes on related income pursuant to Section 501(a) of the IRC. MMP had significant net operating loss carryovers at September 30, 2019 and 2018. A valuation allowance has been provided for the entire deferred tax benefit for the net operating losses, due to uncertainty of realization. MMP did not have material taxable income in 2019 and 2018. Accordingly, a provision for income taxes has been made in the accompanying consolidated financial statements. The MaineHealth System recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Recognized income tax positions are measured at the largest amount of benefit that is greater than fifty percent likely to be realized upon settlement. Changes in measurement are reflected in the period in which the change in judgment occurs. the MaineHealth System did not recognize the effect of any income tax positions in either 2019 or 2018.

IRS990/Desc0Penobscot Bay Physicians and Associates (PBPA) is a supporting organization operating for the exclusive benefit of Penobscot Bay Medical Center (PBMC). PBPA conducts business in support of the corporation in three overlapping ways; (1) By providing primary and specialty physician and other health care services directly to members of the community in the hospital service area of PBMC, that is, Knox County, Maine and the surrounding areas; (2) By serving as a part of an integrated delivery system thereby creating a coordinated, efficient, and comprehensive service mechanism to promote medical and health care delivery to the community in the hospital service area; (Continued at Schedule O) (Continued from Part III, Line 4a) and (3) By providing a mechanism for the PBMC to recruit physicians in underserved medical specialties when needed. It provides medical services without regard to the patient's ability to pay and accepts reimbursement from Medicare, Medicaid and third party payors.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Internal Revenue Service has previously determined that the MaineHealth System and its subsidiaries (except Maine Medical Partners (MMP) (a subsidiary of MaineHealth)) are organizations as described in Section 501(c)(3) of the Internal Revenue Code (IRC) and are exempt from federal income taxes on related income pursuant to Section 501(a) of the IRC. MMP had significant net operating loss carryovers at September 30, 2019 and 2018. A valuation allowance has been provided for the entire deferred tax benefit for the net operating losses, due to uncertainty of realization. MMP did not have material taxable income in 2019 and 2018. Accordingly, a provision for income taxes has been made in the accompanying consolidated financial statements. The MaineHealth System recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Recognized income tax positions are measured at the largest amount of benefit that is greater than fifty percent likely to be realized upon settlement. Changes in measurement are reflected in the period in which the change in judgment occurs. the MaineHealth System did not recognize the effect of any income tax positions in either 2019 or 2018.
