The sole member of the organization had the responsibility for the election of the members of the governing body.

Form 990, Part VI, Section A, line 7B

There were decisions by the governing body that required approval by its sole member. They included: 1. The approval of operating and capital budgets; 2. The approval of any borrowings in excess of $50,000; 3. The approval of other business ventures; 4. The approval for the commencement of any litigation by the organization; 5. The approval for the development, termination or implementation of programs and services; and 6. The election of the organization's President/CEO.

Form 990, Part VI, Section B, line 11B

The President and the Regional Chief Financial Officer reviewed key components with the Finance Committee of the Board of Trustees. A detailed review of the Form 990 was performed by the Regional Chief Financial Officer prior to signing the return. The Form 990 was then made available to the full board prior to filing.

Form 990, Part VI, Section B, line 12C

Conflict of Interest statements were obtained annually. The President's Office collected and reviewed the responses. Where any real or perceived conflicts existed, officers and trustees were expected to recuse themselves (1) from meetings during times when the topics of potential conflict were discussed and (2) from voting on such matters. Key employees did not use their positions to profit personally or to assist others in profiting in any way at the expense of Western Maine Health Care Corp.

Form 990, Part VI, Section B, line 15

Compensation Process for Top Official Western Maine Health Care Corp., through its parent company MaineHealth, had a formal written compensation policy in place. In consultation with Sullivan Cotter, the MaineHealth Board Compensation Committee established appropriate compensation parameters for each organization's CEO and certain members of their Senior Management Team. Working within these parameters, the Western Maine Health Care Board determined the level of compensation for its CEO. The findings of the Compensation Committee were made transparent to, and voted on by, the full Governing Board. The "total executive compensation" was filed publicly by the organization, and included "total cash compensation and "total value of all benefits and perquisites" associated with the position. The Board took necessary action to prevent the CEO from voting or directly participating in the final Committee determination of his own compensation. The organization's executive compensation procedures relied upon appropriate data for comparability (e.g. compensation levels paid by both taxable and tax-exempt similarly situated organizations and independent surveys by nationally recognized independent firms). Finally, the organization refrained from allowing executive compensation to ever be based solely on Western Maine Health Care, Corp.'s revenues or other similar profit-sharing strategies. Compensation Process for Officers At the time of hire the compensation department utilized market data to provide an accurate, competitive and appropriate offer. Annual merit increases were determined by the CEO, subject to guidelines established on a system wide basis.

Western Maine Health Care, Corp. provided management and administrative services to the supported organizations for the ongoing purpose of providing health care services and to engage in charitable and education activities for the betterment of the communities that they served in Western Maine. Western Maine Health Care, Corp. and the supported organizations all had common supervision through the Board of Trustees. Effective March 31, 2014, Western Maine Nursing Home, Inc. stopped providing heathcare services. Current operations consisted of collecting accounts receivable and settling debts.
