Elected Trustees shall be elected annually by the MaineHealth Board of Trustees, acting as the sole corporate member.

The exercise of the following powers by the Board of Trustees of the Corporation shall be subject to the approval of the corporate member and additionally the corporate member's sole corporate member, MaineHealth Services: 1. adoption of the annual capital and operating budgets, including modifications thereof; 2. approval of any business, marketing and strategic plans, including modifications thereof; 3. authorization for debt incurred, assumed, or guaranteed by the Corporation in excess of $1,000,000, other than as provided for in annual capital and operating budgets; 4. authorization for any acquisition, disposition, organization or investment by the Corporation in any other corporation, partnership, limited liability company or joint venture; 5. authorization for any sale, assignment, transfer, mortgage or encumbrance of any properties or assets of the Corporation having an aggregate value in excess of $1,000,000, including capitalized leases exceeding $1,000,000 in debt obligation; 6. authorization for any merger or consolidation involving the Corporation as a constituent entity or any sale or other disposition of substantially all of the assets of the Corporation; 7. authorization for the institution of any bankruptcy, insolvency or reorganization proceedings; 8. authorization for the capital investment in an individual, entity or project in the form of cash or either tangible or intangible property in excess of $1,000,000; 9. adoption of any amendments and modifications to the Articles of Incorporation of the Corporation. The results of the annual COI process are reported to the MaineHealth Executive Compliance Committee, the Audit Committee, Local Health System Presidents, and the Board of Trustees Chairpersons.

Form 990, Part III, line 3

Saint Joseph's Rehabilitation and Residence, a post-acute care facility and wholly owned subsidiary of MaineHealth, sold its bed rights to Fallbrook Commons and ceased providing patient care on Sept. 20, 2024. All 102 residents were transferred to Fallbrook Commons, a new residential and rehabilitation facility operated by North Country Associates. Fallbrook Commons is a joint venture development between North Country Associates, LLC and Sandy River Company, both Maine-based companies with decades of experience developing and operating senior care centers. Saint Joseph's was founded by The Archdiocese of Portland and was acquired by MaineHealth in 2017. Since its acquisition, MaineHealth has made significant investments, and absorbed significant financial losses in order to maintain operations, enhance the quality of care and maximize the facility's use during its final years. As part of a planned transition, MaineHealth sold 102 bed licenses to Fallbrook Commons. MaineHealth will begin to assess how to best utilize the remaining assets of Saint Joseph's to enhance the health of the individuals and communities that it serves.

FIN 48 Footnote The Internal Revenue Service has previously determined that the MaineHealth System and its subsidiaries (except Maine Medical Partners (MMP) (a subsidiary of MaineHealth) are organizations as described in Section 501(c)(3) of the Internal Revenue Code (IRC) and are exempt from federal income taxes on related income pursuant to Section 501(a) of the IRC. The System recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Recognized income tax positions are measured at the largest amount of benefit that is greater than fifty percent likely to be realized upon settlement. Changes in measurement are reflected in the period in which the change in judgment occurs. The MaineHealth System did not recognize the effect of any income tax positions in either 2024 or 2023.
