Form 990, Part VI, Section A, line 6

In accordance with the Organization's bylaws, all citizens who reside in the geographic area of the Organization 55 years of age and older are eligible for membership in the Organization. Citizens who reside in the geographic area of the Organization being under 55 years of age and who support its concept and objectives may become members at-large of the Organization provided that at no time shall the total number of members under age 55 exceed ten percent (10%) of the total membership of the Organization. No person shall be excluded or discriminated against as members of the Organization by reason of race, religion, creed, color, gender, sexual orientation, or national origin. There shall be no membership dues. A member may voluntarily contribute to defray the expenses of the Organization. Anyone desiring to become a member must register with the Organization's Secretary at the annual meeting of the Organization, or at the regional public meetings of the Organization. Members must register yearly to sustain their membership. No person shall be excluded or discriminated against as members of the organization by reason of race, religion, creed, color, sex gender, sexual orientation, or national origin.

Form 990, Part VI, Section A, line 7A

The Organization has members who have the power to elect or appoint other members of the governing body, including the Organization's officers and board of directors. A nominating committee consisting of three (3) members shall be created by the Board of Directors and shall consist of the Chairman, elected by and from among the members of the board, and two (2) members elected by the board which may include the at-large membership of the organization with the stipulation that each member come from one of the three (3) geographic areas of the organization. The full nominating committee by majority vote shall make nominations for officers no less than 30 days prior to the annual meeting. Nominations for members of the board from each of the three (3) geographic areas are made by the Nominating Committee no less than two (2) weeks prior to the annual meeting. The nominees for officers shall be voted upon at the annual meeting by the members of the organization. If the membership does not approve the nominees, a special meeting shall be scheduled within sixty (60) days and the nominating committee will make nominations for consideration at the special meeting. In the interim, the existing officers shall remain in place. The nominees for the Board of Directors shall be voted upon at the annual meeting by the members of the organization from their respective areas with the exception of the members-at-large who shall be selected by the Board of Directors.

Form 990, Part VI, Section A, line 7B

The Organization has members who have some powers over the Organization's decision-making and governance policies. The Organization's Board of Directors and Officers generally only serve upon nomination and election by the members. The Organization's operations and policies are directly carried out by the Organization's Board of Directors and active management committees. However, as the Organization's members elect and appoint the Directors and Officers that fulfill these roles, the Organization's members indirectly influence and control the governance and policy decisions that these committees effectuate. Members may also call special meetings of the Board of Directors with a majority petition, and may make requests and appeals to the Organization's Board and its officers.

Form 990, Part VI, Section B, line 11B

The Organization engages an independent public accounting firm to assist in the preparation of the Organization's audited financial statements and Form 990 tax return filings. After a draft of the Form 990 is prepared, a copy of the draft is circulated with the Organization and its board for its review and approval prior to filing.

Form 990, Part VI, Section B, line 12C

Each employee and board member is required to be loyal to the interests of the Agency and its constituents and to avoid any and all actual or possible conflicts of interest. An employee or board member may not engage in any activity, practice, or conduct which conflicts with, or appears to conflict with, the interests of the Agency and its constituents. An employee or board member who has a question about any actual or potential conflict of interest or possibly conflicting action must (1) immediately disclose the possible conflict to management, (2) refrain from taking any possibly conflicting action until the action is approved by the employee's supervisor or management, and (3) ask the employee's supervisor or a member of management about the matter. An employee or board member may not engage, directly or indirectly, either on or off the job, in any conduct which is disloyal, disruptive, competitive, or damaging to the Agency. An employee must disclose to management any financial interest that the individual or the individual's family has or may have in any actual or potential vendor to, contractor with, customer of, or competitor of the Agency. An employee or board member may not accept gifts (except those of nominal value, such as candy, pens, or the like) or any special discounts, loans, or other compensation from any actual or potential vendor to, contractor with, or customer of, or constituent of, the Agency. Unless otherwise required by law, an employee or board member may not disclose to any person outside of the Agency any confidential information about the Agency, its operations, or its constituents. An employee or board member may not use directly or indirectly for the individual's personal benefit or the benefit of a third person, or otherwise use against the Agency, any confidential information about the Agency, its operations, or its constituents. No employee of the Agency may serve on the Agency's board of directors. No employee or board member shall be involved in activities which may create a conflict of interest in Agency contracts, procurements and investment.

A compensation survey, performed by an independent consultant, addresses comparative wage information for the Executive Director and key employees of the organization. The full board considers this information when approving compensation and benefits to be paid to the Executive Director.

Financial Statement Notes

Part X, Line 2:

The Agency is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. The Agency has been deemed to be a public charity and not a private foundation. Accordingly, the Agency does not record a provision for income taxes within its financial statements. Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items, including unrelated business income or tax status. Under guidance issued by the Financial Accounting Standards Board (FASB), assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. The Agency has evaluated the positions taken on its filed tax returns. The Agency has concluded no materially uncertain income tax positions existed as of September 30, 2024 and 2023.
