Aroostook county action program, inc. (acap) provides the people of aroostook county with services and resources that help individuals and families achieve greater economic independence. As a leader, or in partnership with others, acap provides guidance to the community in responding to emerging human needs in the areas of community, family, energy and housing and workforce development services.

PROVIDE SERVICES & RESOURCES THAT HELP INDIVIDUALS & FAMILIES ACHIEVE more ECONOMIC INDEPENDENCE.

Governance Explanations

Form 990, Part VI, Section A, line 4

The organization made the following changes to the bylaws during the year: -Low-income representatives shall be appointed to the Board by the Aroostook Policy Advisory Council (APAC) and the ACAP Parent Policy Council from among the members of such organizations. The selection procedures shall be determined by APAC and the ACAP Parent Policy Council, provided that all selections of members to serve on the ACAP Board shall be conducted in a democratic manner and shall emphasize broad participation by the low-income residents of Aroostook County. Notices of meetings at which selections are held shall be published at least ten (10) days prior to the meeting in local news media. Any member of either APAC or the ACAP Parent Policy Council with an income that falls below 125% of the Poverty Guidelines issued by the US Department of Health and Human Services, or who has demonstrated a commitment to the elimination of poverty in Aroostook County, shall be eligible for appointment to membership on the Board. -Public officials: If the County Commissioners do not reject a nomination in accordance with the above procedures, then the person nominated shall be deemed elected to the Board at the Annual Meeting. -In the event any public official who was elected to the Board ceases resigns, is removed from, or otherwise fails to serve in the public office in which such public official was serving when he/she was elected to the Board, then such public official will be deemed to have resigned from his/her seat on the Board. -Removal of director: The term "for cause" shall include, but not be limited to: (3) engaging in any other conduct which a majority of the Board determines is detrimental to the interests of the Corporation. -The Parliamentarian shall serve as a resource to the chair, to assist the chair in the conduct of the meetings. He/She shall serve as the expert in rules of order and of the proper meeting procedures, ensuring any meetings of the corporation adhere to the Agency Bylaws and Robert's Rules of Order. The Parliamentarian will keep an up-to-date copy of the Agency Bylaws and shall ensure appropriate measures are taken in interpreting, reviewing and amending bylaws specific to the needs of the Agency. Working with the corporation's legal counsel, the parliamentarian will ensure that the bylaws are legislatively compliant with the laws governing the organization.

The board of directors is provided with a copy of the Form 990 for their review and approval before being filed with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

Annually all board members and employees review, disclose and sign a conflict of interest policy. In connection with any actual or possible conflict of interest, an interested person must disclose the existence and nature of their interest, and must disclose all material facts to the board of directors at the next scheduled board meeting. At the meeting, after disclosing all material facts, the interested person shall leave the board meeting while the determination of a conflict is decided upon.

Aroostook County Action Program, Inc. uses a variety of processes in order to determine compensation. The organization uses an external salary survey, establishes labor market salary ranges, conducts performance reviews establishing goals and objectives, measures achievement on goals and objectives, and considers agency financial ability to establish fair compensation. The organization last conducted a wage study in March 2015.

(ACAP) is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements.
