Governance Explanations

Form 990, Part VI, Section A, Line 4

Changes to the requirements to be a board member to include "work or reside" in the area he/she represents. Board member terms changed from a five year to a three year term.

Form 990, Part VI, Section B, Line 11B

The executive committee and the finance committee of the board of directors reviews the form 990 before it is filed with the irs. The form 990 is also emailed to all members of the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

If a member of the board of directors is at risk of breaking the conflict of interest policy, the board discussed the matter and determines if that person should resign from the board and/or abstain from voting. (1) all members are covered under the policy, (2) any situation in which there can be a financial gain or sway over policy or practice that could benefit the member, business or family in any way (3) level is any amount or any conflict (4) member will recuse from voting, other members are aware of conflict *1/3 consumers are required to be on our board per csbg regulations. Consumers may be recipients of program services or funds, and their participation provides insight into the needs of those affected, but consumers fall under the same policies within programs as others and receive no additional services because they are on our board.

Form 990, Part VI, Section B, Line 15

The board of directors reviews compensation of the executive director and other employees during an annual evaluation. Comparisons are made with the salaries of similarly qualified executives in other non-profit organizations and other businesses. The percentage raises given to all employees of the organization and the fiscal/program health of the agency under his/her leadership are also considered.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request. Audit reports are on website.

Financial Statement Notes

PART X, LINE 2:

Wmca is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. Wmca has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.
