“During FY2017, the Organization amended its bylaws and made the following significant changes: 1. Faculty and Student Board Members are moving from voting members of the Board to a new status of being non-voting "representatives to the Board" thus retaining the Board's connection to the Faculty and Student communities, and allowing the Faculty and Student representatives to remain connected to the Board, to be part of, and to witness the interactions of the Board in policy setting upon recommendations of the President. As of now, the Faculty and Student representatives do not participate in executive sessions. 2. Made changes to the membership of the Executive Committee and provides that the Executive Committee reviews the performance and compensation of the President or charges a subcommittee to do the same. 3. Added a Strategy Committee as a standing committee and addresses the membership and duties of the committee. This will be the committee that advances and evaluates the Strategic Plan of the College, and creates and dissolves Strategic Educational Business Units. 4. Article XVIII (Precedence of Bylaws) was added to make clear that "except as may be constrained by the Articles of Incorporation and by statute," these Bylaws "shall govern, take precedence over, and inform all policies, documents, and relationships of and between the College [including its SEBU's and affiliated units] and its officers, faculties, staff and employees."”

“A complete copy of the 990 was reviewed by the President, the Chief Business Officer, the Treasurer of the Board of Trustees and the Chair of the Board of Trustees.”

“1. The president's office maintains copies of conflicts of interests from board members or employees on file for use, if requested, during the annual audit process. 2. Past practice has been that anyone reporting a conflict is noted. 3. If someone declares a conflict the President and the Chief Business Officer [CBO] meet to determine if the conflict is substantive or non-substantive. 4. Substantive responses warrant further discussion with the Board member/employee to attempt to minimize or remediate. 5. All hardcopies are filed in the president's office and electronically recorded. 6. Following the end of the annual audit process, employee forms will be filed in their confidential personnel files located in Human Resources and the Board forms in the individual confidential board member files of the board office.”
