“Any adult patron of the library shall be a member of the corporation. A patron is defined as a current cardholder of the library in good standing, or a person who has made a financial donation to the library within 12 months prior to the annual meeting.”

“The annual meeting of the members of the corporation shall be held once a year for the purpose of electing directors, as proposed by the nominating committee or nominated from the floor, and transacting any other business which may properly come before the meeting.”

“Draft form 990 is reviewed by executive director, bookkeeper, and finance committee before being reviewed by the full board. After all parties are satisfied, the form is finalized, signed and filed with the irs.”

“Conflict of interest policy is reviewed annually. Covered persons must: a. Disclose the existence of any actual, potential, or perceived conflict of interest to the board, library director, or chair of a library committee on which he or she serves; disclosure must be made prior to the involvement of the covered person in the matter concerning the conflict of interest; b. Abstain from communicating with members of the board, staff, or members of a committee about any issue, or transaction in which he or she has an actual, potential, or perceived conflict of interest unless specifically asked by the board or committee to give information on the issue, or transaction; c. Absent himself or herself from board, committee and staff discussions on any issue, or transaction involving a conflict of interest, unless requested by the board or committee to give information on the issue, or transaction; d. Abstain from voting on any such issue, or transaction unless requested by the board or committee to vote; e. When warranted by the nature and magnitude of the conflict of interest and/or when requested by the board, to recuse himself or herself from discussion or relevant votes, and possibly resign from the committee until, in the opinion of the president or the board, the matter has been sufficiently resolved.”

“The top management official of the blue hill public library is the library director. The personnel committee of the library consists of three to six members of the board of directors who are appointed to serve on the committee for a one year term. One director is the chair. They are charged with recommending a three-year employment agreement for the director that the full board then votes on. The employment agreement includes compensation. No persons with a conflict of interest with respect to the compensation are involved. In recommending fair compensation, the personnel committee looks at comparable library director, non-profit executive director and school administrative positions around the state of maine. Currently, the library director's contract (including compensation) is negotiated every three years, and the process described above is followed each time. The employment contract process was last undertaken in 2016. The personnel committee is also charged with the library director's performance evaluation. Minutes of personnel committee meetings are kept with the chairman of the committee.”
