The mount desert nursing association is dedicated to serving the health care needs of the town of mount desert's year-round and summer residents. Its skilled, caring nurses provide top quality health care to all ages without regard for ability to pay. As a private, independent organization, the needs of the patient are always first. The nursing association also supports community health by offering preventive and educational programs.
Mdnas mission is to improve the health, safety, and independence of mount desert island residents and those of neighboring towns through the delivery of high quality and compassionate skilled nursing and other in-home healthcare services, advocacy, education and prevention programs.

“The members of the corporation shall consist primarily of seasonal and year-round residents of mount desert island and its surrounding islands. Corporate members are hereinafter referred to as "corporators".”
“Corporators represent a broad spectrum of community members who share responsibility for nursing association governance. They elect members to the board of directors, may serve as advisers to the board and its committees, assist in fundraising activities, and participate in the annual meeting of the corporation.”

“Policy mount desert nursing assoc. Governing body members, pac members, and personnel will sign conflict of interest forms attesting that they will not place themselves in a position where a personal interest may influence decisions between agency and other entities. All officers, directors, and management will adhere to this policy regarding avoiding conflicts of interest to ensure the agency's mission is not harmed by their relationships. Purpose 1. To ensure the mission of agency is not harmed by relationships of governing body members, pac members, or personnel. 2. To assist persons who are involved in agency decision-making to understand and meet the standard of conduct required for such persons. 3. To clarify whether governing board members, pac members, or personnel could derive profit or gain through association with the agency. Procedure 1. Annually all governing body members, pac members, and personnel will complete the agency's conflict of interest form. These forms will be maintained in the administrative files of the governing body. If a conflict potentially exists, the person completing the form will include: a. Name(s) of competing or subcontracting corporations in which 5% ownership exists. B. Names of family members with 5% ownership in such agencies. C. Persons who have ownership/controlling interest in a competing agency. D. Conviction of any criminal offense involving medicare or medicaid on the part of any person or agency, agent, or managing employee. E. Names and addresses of any current managerial personnel who were employed by the fiscal intermediary in the last year. F. Changes in ownership control. G. Change in address of parent corporation , sub-unit, or branches. 2. No officer, director, or management person of this agency shall participate in a relationship if he/she is a party to or has financial interest in that relationship, is employed by or negotiating prospective employment with the other party, or has financial interest in the other party. 3. All officers, directors, or management personnel shall promptly report any matters that may pose a potential conflict of interest. 4. In matters involving a conflict of interest, a governing body member or employee must disclose any known significant reasons why a transaction may not be in the best interest of the agency. 5. A governing body member may not participate in discussions unless requested and may not vote on transactions where conflict may or does exist. Abstention and reason for it will be included in the minutes. 6. No officers, director, or management personnel shall solicit or accept any gratuities, favors, or anything of significant monetary value from any person or party while representing the agency. Significant value is defined as something that cannot be consumed or used up within 24 hours or has a face market value of more than 25.00. 7. All personnel shall conduct business in such a manner that no conflict of interest, real or implied, could be construed. Personnel and families may not have financial interests in competing or supplying companies that could affect their performance or influence business decisions. 8.the presiding chair of the governing body will have final authority on what constitutes conflict of interest.”

TO CLARIFY WHETHER GOVERNING BOARD MEMBERS, PAC MEMBERS, OR PERSONNEL COULD DERIVE PROFIT OR GAIN THROUGH ASSOCIATION WITH THE AGENCY. PROCEDURE 1. ANNUALLY ALL GOVERNING BODY MEMBERS, PAC MEMBERS, AND PERSONNEL WILL COMPLETE THE AGENCY'S CONFLICT OF INTEREST FORM. THESE FORMS WILL BE MAINTAINED IN THE ADMINISTRATIVE FILES OF THE GOVERNING BODY. IF A CONFLICT POTENTIALLY EXISTS, THE PERSON COMPLETING THE FORM WILL INCLUDE: A. NAME(S) OF COMPETING OR SUBCONTRACTING CORPORATIONS IN WHICH 5% OWNERSHIP EXISTS. B. NAMES OF FAMILY MEMBERS WITH 5% OWNERSHIP IN SUCH AGENCIES. C. PERSONS WHO HAVE OWNERSHIP/CONTROLLING INTEREST IN A COMPETING AGENCY. D. CONVICTION OF ANY CRIMINAL OFFENSE INVOLVING MEDICARE OR MEDICAID ON THE PART OF ANY PERSON OR AGENCY, AGENT, OR MANAGING EMPLOYEE. E. NAMES AND ADDRESSES OF ANY CURRENT MANAGERIAL PERSONNEL WHO WERE EMPLOYED BY THE FISCAL INTERMEDIARY IN THE LAST YEAR. F. CHANGES IN OWNERSHIP CONTROL. G. CHANGE IN ADDRESS OF PARENT CORPORATION , SUB-UNIT, OR BRANCHES. 2. NO OFFICER, DIRECTOR, OR MANAGEMENT PERSON OF THIS AGENCY SHALL PARTICIPATE IN A RELATIONSHIP IF HE/SHE IS A PARTY TO OR HAS FINANCIAL INTEREST IN THAT RELATIONSHIP, IS EMPLOYED BY OR NEGOTIATING PROSPECTIVE EMPLOYMENT WITH THE OTHER PARTY, OR HAS FINANCIAL INTEREST IN THE OTHER PARTY. 3. ABSTENTION AND REASON FOR IT WILL BE INCLUDED IN THE MINUTES. 6. NO OFFICERS, DIRECTOR, OR MANAGEMENT PERSONNEL SHALL SOLICIT OR ACCEPT ANY GRATUITIES, FAVORS, OR ANYTHING OF SIGNIFICANT MONETARY VALUE FROM ANY PERSON OR PARTY WHILE REPRESENTING THE AGENCY. SIGNIFICANT VALUE IS DEFINED AS SOMETHING THAT CANNOT BE CONSUMED OR USED UP WITHIN 24 HOURS OR HAS A FACE MARKET VALUE OF MORE THAN 25.00. 7. ALL PERSONNEL SHALL CONDUCT BUSINESS IN SUCH A MANNER THAT NO CONFLICT OF INTEREST, REAL OR IMPLIED, COULD BE CONSTRUED. PERSONNEL AND FAMILIES MAY NOT HAVE FINANCIAL INTERESTS IN COMPETING OR SUPPLYING COMPANIES THAT COULD AFFECT THEIR PERFORMANCE OR INFLUENCE BUSINESS DECISIONS. 8.THE PRESIDING CHAIR OF THE GOVERNING BODY WILL HAVE FINAL AUTHORITY ON WHAT CONSTITUTES CONFLICT OF INTEREST. |
