MaineHealth (EIN #01-0238552) is the organization's sole corporate member, a Maine non-profit corporation.

The directors of the organization are elected by the sole member. The organization's directors must also be members of a certain committee of the sole member's Board known as the Mid Coast Parkview Health Board.

The exercise of the following powers by the Board of Trustees of the Corporation shall be subject to recommendation by the MCPH Board and approval by the Board of Trustees of the Corporate Member: 1.adoption of the annual capital and operating budgets, including modifications thereof; 2.approval of any business, marketing, and strategic plans, including modifications thereof; 3.authorization for debt incurred, assumed, or guaranteed by the Corporation, or other financial commitment by the Corporation, in excess of $5,000,000, other than as provided for in approved capital and operating budgets; 4.authorization for any acquisition, disposition, organization or initial investment by the Corporation in a direct subsidiary or any other corporation, partnership, limited liability company or joint venture; 5.authorization for any sale, capitalized lease, assignment, transfer, mortgage or encumbrance of any properties or assets of the Corporation having an aggregate value in excess of $5,000,000; 6.authorization for any merger or consolidation of the Corporation with any other entity, dissolution of the Corporation, or any sale or other disposition of substantially all of the assets of the Corporation; 7.authorization for the institution of any bankruptcy, insolvency or reorganization proceedings; 8.authorization for the capital investment in an individual, entity or project, including the purchase, license or lease of real estate or another capital asset, in the form of cash or either tangible or intangible property in excess of $5,000,000, other than as provided for in approved capital and operating budgets; 9.authorization for the commencement of litigation other than routine collection actions; 10.settlement of claims that would require the Corporation to spend amounts in excess of $5,000,000; 11.adoption of any amendments and modifications to the Articles of Incorporation of the Corporation; 12.adoption of the Corporation's Bylaws and any amendments and modifications to the Corporation's Bylaws; and 13.authorization for cessation of, or any significant change in, the health care services provided by the Corporation. MaineHealth's Audit & Compliance Services sends Conflict of Interest (COI) disclosure form requests to over 3,000 Care Team Members (including all Board Members, Officers, and other Senior Leaders) each year. Audit & Compliance Services collects the disclosure forms and reviews each submission for possible reported conflicts to determine if a management mitigation plan is required. The results of the annual COI process are reported to the MaineHealth Executive Compliance Committee, the Audit Committee, Local Health System Presidents, and the Board of Trustees Chairpersons.

Compensation Process for President (Line 15a) MaineHealth, a related organization uses an outside firm, Sullivan Cotter, to perform an independent benchmark analysis annually for the President of Community Health and Nursing Services. The firm meets with the Executive Committee of the Board of Directors of MaineHealth to review the executive compensation report. The Executive Committee then deliberates on MaineHealth's written salary and incentive plan philosophy before making a final decision. All meeting decisions are captured in minutes with appropriate approvals at all levels. Compensation for Officers (Line 15b) Compensation for officers of Community Health and Nursing Services is part of the independent benchmark analysis performed annually by Sullivan Cotter. All compensation decisions are reviewed and approved by the MaineHealth Chief Executive Officer, Chief Operating Officer and Chief People Officer.

Part X, Line 2:

The Internal Revenue Service has previously determined that the System and its subsidiaries (except Maine Medical Partners (MMP) (a subsidiary of MaineHealth) are organizations as described in Section 501(c)(3) of the Internal Revenue Code (IRC) and are exempt from federal income taxes on related income pursuant to Section 501(a) of the IRC. The System recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Recognized income tax positions are measured at the largest amount of benefit that is greater than fifty percent likely to be realized upon settlement. Changes in measurement are reflected in the period in which the change in judgment occurs. The System did not recognize the effect of any income tax positions in either 2024 or 2023.

Part V, line 4:

The income from endowment funds is used to support hospice related projects. Permanently restricted net assets include those funds designated by donors to be invested in perpetuity to provide a permanent source of income. Temporarily restricted endowment net assets include accumulated appreciation on donor-restricted endowment funds to support CHANS.
